Reports to: Senior Corporate Counsel

Location: Carmel, IN

Position Overview

The Legal Counsel is primarily responsible for providing legal advice to internal clients on a variety of legal matters, including contracts review and negotiation, compliance with insurance laws, claims and coverage support, and day-to-day corporate generalist work.

Primary Duties

  • Reviewing, drafting, and negotiating a variety of commercial contracts and other legal documents;

  • Research legal principles and precedents within a specified area relevant to business;

  • Evaluate legal risk issues that stem from operations and/or commercial agreements and provide recommendations regarding risk mitigation;

  • Provide practical and effective guidance to unique legal problems, including legal questions with no established precedent;

  • Understand and support the business goals for the company;

  • Participate in special projects, as requested;

  • Maintain strong and effective working relationships with internal units;

  • Provide legal advice and support to all business units and ensure timely submission of work as required;

  • Monitor legal and regulatory developments and communicate to appropriate business units;

  • Provide research and advice to other teams regarding relevant regulatory requirements or regulatory changes; and

  • Monitor and manage a contracts repository.


  • Law Degree from an accredited law school

  • Bachelor's degree

  • Member in good standing of Indiana Bar or other U.S. state bar

  • Minimum of three (3) years transactional experience

  • Experience negotiating commercial contracts skillfully and successfully

  • Experience interpreting insurance law and regulations or insurance litigation experience

  • Strong legal research skills

  • Strong analytical and problem solving skills

  • Familiarity with Immigration laws and/or information security laws strongly preferred

  • Excellent written and verbal communication skills, including the demonstrated ability to effectively communicate legal considerations to a non-legal audience.

  • Excellent organizational skills and the ability to track and meet multiple deadlines.

  • Detail-oriented with effective time management skills

  • Proficient in Microsoft Office Excel and Word

About the Job: This position functions as associate general counsel to the agency and is responsible as a member of the agency legal team for work-related legal services to the General Counsel and all agency personnel, as well as the implementation and interpretation of all legislation, rules, and regulations that impact the agency. A Day in the Life: The essential functions of this role are as follows: * Reports to ICJI General Counsel and acts as counsel to ICJI regarding rulemaking; contract, grant, and MOU drafting; and the interpretation of statutes and rules. * Works with & provides advisory counsel to various ICJI boards and commissions. * Assists in the drafting, management, and review of agency contracts, grants, and memorandums of understanding. * Manages rulemaking for various agency boards, including assisting in drafting and processing administrative rules and rule readoptions. * Maintains a working knowledge of all pertinent federal and state laws, regulations, and ICJI policies and procedures. * Assists General Counsel in preparing and communicating legal interpretations to staff. * Assists General Counsel by attending legislative committee hearings, developing agency legislative proposals, provides reports on legislative hearings, and identifying the impacts to the agency by proposed legislation. * Conducts legal research, analyzes legal issues, and prepares legal memoranda as directed by the General Counsel. * Acts as Ethics officer for the agency and is responsible for maintaining all agency ethics information and conducting all ethics trainings for staff, boards, and subgrantees. * Acts as agency Civil Rights Officer responsible for maintaining all agency civil rights documentation and training agency and subgrantee staff on civil rights requirements. * Represents agency in Administrative proceedings * Assists General Counsel with developing and preparing agency polices and procedures * Assists General Counsel with providing training to agency staff and subgrantees on various topics as necessary The job description is not designed to cover or contain a comprehensive listing of activities, duties or responsibilities that are required of the employee.
