  • Support the mission of the legal department at JM Eagle and associated companies, by performing tasks as assigned by the General Counsel.
  • Support and manage various litigation.
  • Review, negotiate, draft and revise a variety of commercial contracts from the myriad of vendors and suppliers including service agreements, non-disclosure agreements, procurement agreements, etc. and real property transactions including leases.
  • As required, manage in-take of contract requests and conduct internal client interviews related to contracts and other legal projects to understand issues and then advise clients as to best practices in addressing such issues and conducting the transactions at hand.
  • Develop and maintain strong business relationships with the various internal business groups requiring legal support.
  • Ensure the legal department staff is kept apprised of material developments and matters on a timely basis exercising sound business and legal judgment to enable General Counsel to discharge their duties and responsibilities.
  • Demonstrate leadership and team-working skills in support of a collaborative environment.
  • Organize, direct and provide legal support in specified areas under the direction of the General Counsel.
  • Exercise discretion and maintain a high degree of confidentiality.
  • Performs other job related duties as assigned.

Requirements

  • Previous experience in law
  • Familiarity with various legal documents
  • Strong analytical and problem solving skills
  • Ability to build rapport with clients
  • Excellent written and verbal communication skills
  • This position requires a JurisDoctorate (J.D.) degree from an accredited law school, passing of the California State Bar Examination, and at least two (2) years work experience prior to entering law school. Litigation support experience preferred.

A competitive candidate will have expert knowledge of commercial contracting, original drafting experience, and be a skilled negotiator, with and a history of successful client management.</p><p>*Open to US based remote employee, Pacific Time Zone working hours</p><p>This position reports to</p><p>Legal/Integrity Specialist</p><p>Your responsibilities</p><ul><li><p>Heavy emphasis drafting and revising sophisticated commercial agreements for project-based, commercial transactions within parameters of company's risk tolerance</p></li><li><p>Creates, communicates, and executes first quality negotiation documents that reflect an advanced knowledge of contract terms and conditions, legal requirements for compliance with applicable laws and regulations, and companies' policies and strategies</p></li><li><p>Maintains focus that balances the needs of the business for profitability with ensuring the contractual terms and conditions protect the company and minimize risk</p></li><li><p>Drives negotiation to closure</p></li><li><p>Prepares executive summaries and risk-based analysis for executive consideration</p></li><li><p>Understands business requirements and provides creative solutions and resolutions within the parameters of existing policy, in line with company's risk tolerance</p></li><li><p>Creates agreements for new products, services, and business initiatives</p></li><li><p>Works with differences in style and cultures, and will adjust work and communication style accordingly</p></li><li><p>Ability to work effectively in faced paced environment under tight deadlines</p></li><li><p>Travel expectations may include regular, monthly visits of no less than a full business week to company offices in Santa Monica, CA and other travel as needed up to 25%</p></li></ul><p>Your background</p><ul><li><p>Bachelor of Law or Juris Doctor from a reputable law school is required, with a common law qualification preferred</p></li><li><p>4-10 years prior law firm or in house experience at a US multinational company highly preferred</p></li><li><p>Expert Commercial contract drafting experience and a deep understanding of commercial contract terms.
