CallidusCloud is looking for a self-starting Corporate Counsel to join its growing, high performance in-house legal team in Dublin, CA.


  • Effectively negotiate complex legal and commercial issues in SaaS, professional services, and partner agreements in support of experienced sales teams.

  • Flexibility and willingness to work on a broad variety of legal matters with a team-player attitude.

  • Demonstrate experienced judgment in analyzing and negotiating complex concepts, including: data privacy; intellectual property ownership; limitations of liability; indemnifications; and warranties.

  • Investigate areas of risk and prepare course of action / recommendations to minimize risk.

  • The ability to integrate legal, business, technical, and practical analysis, and a high level of motivation, are essential.

  • Excellent written and oral communication skills to facilitate successful interaction with all levels of management and staff.

  • Assist in handling various corporate legal matters, including privacy, IP, employment, M&A, litigation management, and corporate governance.


  • A minimum 2 years' experience in negotiating complex, out-bound technology agreements with a SaaS or software company, or in a top-tier law firm.

  • Strong interpersonal, leadership and communications skills, both written and oral. Demonstrated, experienced judgement in advising executive business clients.

  • Excellent written and oral communication skills to facilitate successful interaction with all levels of management and staff.

Education: A JD from an ABA accredited law school and California Bar membership in good standing are required

Partner with various client groups to prepare and advise on confidentiality agreements, consents to use, unsolicited idea letters, cease and desists, and takedown notices coordinate and administer activities of Company's compliance program provide other support related to brand protection and manage special legal projects as requested by counsel.&nbsp &nbsp Specific Responsibilities Include * Lead Company's confidentiality agreements (MCAs) process for various client groups prepare MCAs as requested review and negotiate revisions to MCAs, elevating to counsel as needed and consulting with internal partners track and complete MCAs through electronic signature process work with internal partners to create and maintain tracking capability.&nbsp * Prepare correspondence and/or agreements for matters such as consents to use, unsolicited ideas, cease and desists, and takedown notices and manage related inquires. Manager other responsibilities, as assigned, related to brand protection.&nbsp * Administer Company's effective compliance program, including planning initiatives and activities (such as surveys, overviews, and updates), monitoring progress, managing issues, coordinating activities and dependencies, working cross-functionally with business compliance owners to develop program deliverables, managing documentation for the program, and raising concerns and issues to compliance counsel as appropriate.&nbsp * Provide general contract (drafting, review, negotiation and filling) and administrative support to corporate counsel.
