The Legal Counsel is responsible for ensuring adequate commercial and legal protection is put in place with each of the companies' customers and suppliers. The work includes the drafting & negotiating of bespoke commercial agreements for all types of IT services including consulting, software development, systems integration, application management, website management, infrastructure implementation, outsourcing and managed services.

Main duties:

The key responsibilities and activities for this role include:

  • Drafting/Negotiation/Reviewing commercial contracts primarily for the US but also for the South American entities of the Group, including Master Service Agreements, Framework Agreements, Statements of Work, Business Associate Agreement, Non-Disclosure Agreements, Marketing Agreements, Sub-contracts, Consulting Agreements, Licensing Agreements.

  • Liaising with internal clients and, as required, external customers for the entire contract lifecycle ensuring timely review, approval, negotiation, contract close-out, extensions, renewals or variations of agreements

  • Maintaining up to date contract templates and clause library

  • Managing and maintaining contract playbook and contracting policies

  • Effective use of contract management tools / systems / automation

  • Provision of legal advice on data privacy law, especially the HIPAA rules

  • Provision of advice regarding protection of intellectual property including registration and protection of trade marks, protection of developed IP, open source and licensing

  • Support in tender response

  • Coordination of contract review & sign-off process

  • Assistance with legal aspects of Human Resources/employment matters

Key Relationships


The Legal Counsel interfaces and provides information to and requests information from other teams.


The Legal Counsel interfaces frequently with external parties (including international) and works with them to plan, develop or discuss activities and projects.

Direct/Indirect Reports and Financial Responsibility

Direct Report

Head of Commercial Contracts based in London, UK

Financial/Budgetary Responsibility

Support to the Commercial Team Lead in managing the team's budget including effectively managing external service providers.

Skills Required:

  • Graduated with a JD from an accredited law school

  • Obtained licensed to practice, or ability to become licensed in appropriate jurisdiction

  • Membership in good standing with the State Bar, and with no outstanding disciplinary actions.

  • Two (2) or more years relevant experience preferred

  • Experience with IT contracts


  • Fluency in Spanish


  • Demonstrable experience of high level contract drafting, negotiation, finalisation and effective use of contract management policies and tools

  • Knowledge and application of US data privacy laws, in particular HIPAA rules

  • Experience in cross-border contracts and transactions

The ideal candidate will have experience in the tech space (e.g., SaaS, Big Data, Artificial Intelligence, etc.) and a solid grounding in the legalities specific to our domain.
