The Legal Counsel will be responsible for advising in-house clients on compliance with employment and employee benefit laws and regulations in North America. In addition, this individual will serve as the primary legal advisor to the global sourcing team and will be responsible for devising and implementing risk-based supplier programs and policies. Responsibilities

HR Support & Dispute Management (45%)

  • Possess expertise in US (50 States and Federal) Employment Laws and Regulations. Working knowledge/familiarity with same in rest of North America.

  • Provide legal advice to assure compliance with specific HR regulations and laws (e.g., ADA, FMLA, FSLA, EEOC etc.)

  • Provide or supervise training on workplace behavior expectations.

  • Provide advice to HR on process improvement and assist in implementing new HR systems and/or policies.

  • Provide assistance with employee on-boarding and off-boarding, review and advise on non-compete issues, draft and work on separation/severance release agreements.

  • Ability to manage outside counsel when needed to assure legal and regulatory compliance outside US.

  • Direct and, as appropriate, participate in investigations of employee misconduct and assist HR in determining appropriate disciplinary action.

  • Respond to and/or manage outside counsel in responding to EEOC and other regulatory agencies.

  • Supervise litigation and provide support to outside counsel

Commercial Support (50%)

  • Draft commercial agreements with various suppliers, vendors, consultants, independent contractors, business partners (domestic and international)

  • Assist with contract negotiations and terminations

  • Provide legal review of, and advise on interpretations of, commercial contracts

  • Assist with commercial contract dispute resolution

  • Oversee and approve edits to product warranty statements

  • Provide secondary support to senior counsel in Americas and other global regions on general commercial matters

  • Provide assistance to other members of legal team as directed

Corporate Support (5%)

  • Provide legal advice on employee benefit and ERISA plans

  • Review consulting agreements with vendors and individuals to assure compliance with IRS rules and Affordable Care Act requirements.

  • Coordinate with EPL insurer, attend meetings with insurer and issue required reports.

Education and Experience

  • Juris Doctorate Degree

  • Minimum 6 years of experience as a lawyer specializing in employment and benefits law and commercial legal matters

  • Law firm and in-house experience preferred

  • Demonstrated ability to clearly and succinctly deliver legal advice both orally and in writing to business partners.

  • Experience handling regulatory and/or litigated employment matters, with a preference for someone who has also overseen such matters internationally.

  • Experience handling transactional work on a variety of standard business agreements domestically, with a preference for someone who has also worked on commercial matters internationally.

  • Experience selecting, supervising, and managing outside counsel is strongly preferred.

In this role you will be responsible for safeguarding Coloplast by ensuring freedom to operate and protect the company's reputation through proactively identifying, monitoring and mitigating risks. You will also manage and lead the North American legal team and will be a strategic advisor to the executive leadership teams for the North America divisions within Chronic Care, Wound & Skin Care and Global Operations and is part of the North America leadership team. The Associate General Counsel serves as Corporate Secretary for the North America legal entities and provides legal support on sensitive and/or critical business matters and oversees the provision of all legal counselling and services by the legal team. You will have the overall responsibility and accountability for all legal matters, including matters relating to contract negotiation, employment law, program designs, litigation, government investigations, corporate structure or other matters pertinent to the business and the North America region. Furthermore, the Associate General Counsel is responsible for developing and implementing policies and procedures. The Associate General Counsel supports and liaises with other functions locally and globally, such as Compliance, Intellectual Property, Regulatory Affairs and Finance. The Associate Counsel is also responsible for selecting and managing external counsels as well as for managing the legal forecast, including external spend. This role reports to the Group General Counsel and is part of the Group Legal, IP & Compliance leadership team. In alignment with the Group General Counsel, you will set the direction and strategy for the North America legal team and ensure that there is alignment between the North America legal KPIs and the overall company strategy. Major Areas of Responsibility and Accountability Legal Consultation * Serve as strategic sparring partner for the executive North America leadership teams and the Executive Management of Coloplast A/S * Manage current and future litigation, including evaluating the merits of a claim, define defence strategy, manage external counsel and lead settlement negotiations * Lead team to deliver results by providing legal advice on contractual and legal risks (and other risks) while taking into consideration the business objectives * Develop, implement and oversee legal and ethics training, the latter in close cooperation with the US Compliance team * Define and develop corporate policies, procedures and programs and conduct training * Ensuring legal compliance when launching major initiatives & projects * Responsible for ensuring that the company conducts its business in compliance with applicable SEC et al. laws and regulations Contract Support * Oversee team and set guidelines and expectations for reviewing contracts and delivering legal advice in accordance with company policies and legal requirements, this includes ensuring a high level of service, quick turnaround time, sound business acumen etc. * Identify legal risks and advise on areas of improvements in light of applicable laws, industry practice, case law, company strategy etc. * Ensure relevant legal templates tailored to Coloplast are developed and implemented including contracts, statements of works, NDAs, RFP terms and conditions, etc. Team Leadership * Structures and manages the North America legal department and staff * Ensure team delivers results and meets deadlines * Ensure the function delivers legal services in alignment with customer needs and expectations * Oversee the selection, retention, management and evaluation of all outside counsel * Cultivate a culture of teamwork and business partnering * Drive stakeholder management * Provide coaching and guidance to ensure team member's retention and development Essential Qualifications * Juris Doctor degree * Admitted to the Bar in a US state * Minimum 10 years of relevant experience * Extensive experience in providing strategic sparring to executive leadership * Extensive experience in developing, implementing and driving legal strategy supporting the business strategy * Extensive experience in managing external counsels, including legal spend * Experience in managing litigation cases * This role may require up to 30% travel, both domestically and internationally Required Knowledge, Skills and Abilities * Adhere to Coloplast principles and values while maintaining customer focus and delivering results * Broad knowledge of all areas within medical device law (including HIPAA, AKS, FCA, reimbursement and AdvaMed Guidelines), commercial law, and corporate law * Excellent communication and interpersonal skills with the ability to create trust and influence at executive level * Excellent stakeholder management skills * Strong negotiation skills * Ability to work under pressure, prioritize task, meet deadlines, and deliver results * Ability to balance legal risks with business risk and business needs * Extensive experience in managing a legal team * 10 or more years of experience as a lawyer within the medical device, medical products or related industry, working in an in-house or private practice capacity * Extensive experience managing complex projects/deals * Experience with government investigations The job information contained herein will apply to the candidate successful in being hired for the position.
