Job Description

As Legal Counsel

• Corporate, your primary responsibility will be overseeing and ensuring compliance with our global subsidiary management programs. In doing this, you'll collaborate with internal teams, including Tax, Human Resources, Treasury, and Accounting. In addition, you will assist in developing and managing policies and procedures related to product distribution. Additionally, you'll stay informed about new legal regulations and laws impacting our business, ensuring strict adherence. As a valued member of our Legal team, you'll have opportunities to expand your role within the organization.

You will report to our VP, Legal and will be based at our headquarters in Milwaukee with hybrid working arrangements.

Your Responsibilities:

• Discover and implement process improvements for managing all global entities to help team ensure efficiency and effectiveness

• Help administer the Insider Trading compliance program

• Help with global M&A, namely the corporate governance due diligence and acquisition integration

• Help with SEC reporting and NYSE governance (including annual meeting of shareowners, annual proxy statement, Section 16 filings)

• Support the in-house team with training modules for distribution and antitrust

• Support the governance framework relating to Rockwell's distribution network including to help establish and implement appropriate governance and policies

The Essentials

• You Will Have:

• Licensed to practice in Wisconsin or qualify for the In-house Counsel Exemption

• Bachelor's degree from an accredited institution is required

• Juris Doctorate (J.D.) degree from an accredited law school required

• Legal authorization to work in the U.S. We will not sponsor individuals for employment visas, now or in the future, for this job opening.

The Preferred

• You Might Also Have:

• 3+ years of relevant experience at a law firm and/or public company legal department with a primary focus on corporate governance and/or securities law related matters

• Experience with mergers and acquisitions, capital markets or commercial areas

• Desire to improve processes and continuous improvement mindset
