Job Description

The Legal Counsel & Compliance Officer, Americas will lead the compliance function in the Americas, driving healthcare compliance as well as employment and related compliance activities and will provide legal support across the Sirtex business globally. The position reports to the General Counsel & Chief Compliance Officer and is based in Sirtex's headquarters in Woburn, MA. Working directly with senior executives and the General Counsel, the successful candidate will provide the highest level of legal and compliance support for issues and concerns within the organization, in a practical, coordinated, and effective manner, in alignment with company and external requirements.

The Legal Counsel & Compliance Officer, Americas will work closely with the business, participating in leadership team meetings and providing legal support for both the daily business operations and strategic initiatives. The position will provide leadership and guidance to the company with respect to compliance related matters in the Americas. The Legal Counsel & Compliance Officer, Americas will also manage legal issues across a wide spectrum of areas, including product management, business development, acquisitions, human resources, and litigation. The position is expected to manage complex legal issues with detailed analysis of the situation and assessment of the legal risks, and manage outside counsel as appropriate. The individual is expected to exercise judgment and demonstrate the highest integrity in obtaining results, drafting and negotiating agreements, and generally providing legal advice.

The Legal Counsel & Compliance Officer, Americas will develop a good understanding of the company's business and possess the ability to evaluate and balance both legal and business factors when providing advice, and develop the team to ensure the efficient operation of the function and improve understanding of the compliance requirements across the organization.

PRIMARY RESPONSIBILITIES:

  • Lead the compliance function in the Americas, driving healthcare compliance as well as employment and related compliance activities.

  • Ensure compliance with privacy requirements in the Americas, including HIPAA and other privacy laws.

  • Develop and implement programs for compliance risk areas, including promotional activities, HCP interactions, anti-kickback, Stark law, Sunshine laws and bribery & corruption laws.

  • Implement compliance training and monitoring prcedures to ensure adherence to policies and applicable laws and regulations.

  • Manage employment law issues for the Americas and provide leadership and support to HR function and the company.

  • Represent the legal department as a practical, business-minded advisor for individuals across the company, including senior executives.

  • Negotiate and draft strategic agreements.

  • Manage legal aspects of acquisitions and integrations of additional businesses and products for the company.

  • Develop and maintain expert knowledge of evolving and existing requirements and regulations around compliance risks, and provide direction on anticipated, future requirements.

  • Provide clear and concise communications regarding compliance requirements and expectations to drive consistency across global sites.

  • Manage outside counsel where needed for specific intellectual property, regulatory, HR, and commercial matters.

  • Where necessary, assist with the execution of standard agreements.

  • Provide legal support generally on day-to-day issues facing the business.

Qualifications

  • JD with excellent academic credentials from an accredited law school.

  • Active bar membership in at least one US jurisdiction.

  • 7+ years of law firm and/or in-house experience, including experience with medical device, pharmaceutical or other healthcare focused multinational companies.

  • Significant experience managing healthcare compliance matters, including anti-kickback, sunshine and related laws, as well as privacy regulations, such as HIPAA and other data privacy laws and regulations.

  • Demonstrated ability to lead and manage legal risks for complex strategic transactions, including acquisitions.

  • Exceptional drafting and negotiation skills.

  • Business oriented legal advice with demonstration of highest ethics and integrity.

  • Experience and understanding of FDA regulations and intellectual property issues in relation to a medical technolgoy focsed company.

  • Strong verbal, written, analytical, and persuasive skills and ability to interact effectively with all levels.

  • Highly organized, exhibiting meticulous attention to detail.

  • Exceptional time management and communication skills.

  • Ability to multitask and work independently on assignments.

  • Strong interpersonal skills, an energetic, proactive, flexible individual with high integrity and ethics in all dealings.

  • Eager to learn, enthused by the day and resilient with a sense of humor.

The target base salary range for this position will range from $201000 to $231,000 annually. Individual compensation for this job requisition will be based on non-discriminatory factors, including your geographic location, skills, experience, education and other factors as they relate to the position requirements. Actual compensation may vary depending on the confirmed job-related skills and experience.

In addition to the expected base compensation, this role is eligible to participate in Sirtex's incentive programs (target bonus of 15% for this position) and benefit plans, which include paid sick and vacation time, health insurance and a generous 401k matching program.
