A&F is seeking a Legal Counsel to provide commercial contract and transactional counsel to the company as necessary to support our existing store base, e-commerce platforms, corporate operations, and new international growth. This position reports directly to the Senior Director and lead of the Commercial Transactions Group and will work closely with A&F's global Legal and Compliance Teams, as well as the Procurement; Supply Chain, Distribution, and Logistics; Franchise and Wholesale; Real Estate; Marketing; Information Technology; Finance and Strategic Planning; and Sourcing Teams.

What will you be doing?

  • Assist in drafting and reviewing various forms of domestic and international contracts, including supply chain and logistics agreements; various Technology/IT contracts including SAAS, hardware, software, and service contracts; consulting contracts; IP licensing; vendor and supplier agreements; marketing and sponsorship agreements; and general service agreements.

  • Assist with drafting and negotiating agreements related to A&F's international development through joint ventures, franchises, wholesale, and other third-party distribution arrangements.

  • Assist the Senior Director with the implementation of new contracting processes, policies and procedures, including building, training and monitoring components.

  • Managing current and potential third-party business ventures, which involve evaluating the interests/demands/needs of multiple internal business functions and identifying any appropriate regulatory governance applicable to proposed international ventures.

  • Assist with commercial disputes and litigation as necessary.

What will you need to bring?

  • Strong Academic Background including a JD from an accredited law school (required)

  • Minimum 4-6 years working experience as a lawyer handling complex commercial transactions - transactional experience for either an international law firm or multi-national corporation is highly desired.

  • Experience with IT/Technology/Intellectual Property Agreements, Joint Ventures and/or Franchise Agreements is a plus

  • Ability to work in a highly collaborative environment

  • Ability to manage a high volume of demands, and an eagerness take on new challenges

  • Strong organizational skills

  • Self-starter that drives for results in a collaborative manner

  • Ability to work independently as well as with others while balancing multiple tasks

  • Open for challenges and willing to work outside of defined scope

  • Excellent oral and written communications skills

  • Active member in good standing of the Ohio Bar

  • Demonstrated ability to collaborate with cross-functional teams

  • Ability to succeed with minimal oversight or management

The Attorney will be an operational partner who is well‑versed in counseling clients on complex business and legal matters. This individual will interface with business partners at all levels and across multiple brands and functions in support of domestic and international business initiatives. Key responsibilities and areas of focus include: * Draft and negotiate a wide variety of commercial agreements, including information technology and software licensing agreements, product sourcing agreements, warehousing, distribution and fulfillment services agreements, transportation and logistics agreements, and marketing and consulting agreements * Review existing business agreements and policies and provide guidance on rights and obligations * Lead negotiations that are business critical, complex and/or sensitive in nature * Leverage legal expertise to create practical solutions to operational priorities requiring supplier or vendor support with or without established precedent * Operate through a lens of risk mitigation while supporting business goals and initiatives * Engage and efficiently manage outside counsel * Effectively interpret and apply laws, regulations and policies Qualifications Qualifications * Strong verbal and written communication skills including presentation and negotiation skills * Team player with strong relationship-building skills across multiple leaders, layers and cross-functional business partners * Strong organizational skills with the ability to manage a large volume of work and meet critical short-term deadlines * Ability to take independent and decisive action while maintaining flexibility to prioritize and handle multiple tasks and work streams * Desire to excel in a fast-paced environment that changes on a day-to-day basis * Self-starter with drive and initiative * Ability to operate in a thorough, detail-oriented and accurate manner * Ability to conduct all work in an ethical, honest, professional and confidential manner Education & Experience: * Juris Doctor degree from an accredited law school * Member of the Ohio bar or a licensed attorney who will obtain Ohio bar membership * 5-8 years of experience with a law firm and/or as in-house counsel in the field of commercial contracts and transactions * Contract expertise supporting business partners in procurement services, information technology services, transportation and logistics services, and marketing services * Experience drafting and negotiating commercial contract terms and conditions including deliverables, terms and conditions of sale, fees, indemnification and limitation of liability, data security, confidentiality and termination rights * Experience representing and advising retail clients * Experience with international contracts and transactions * Proficiency in Microsoft Office suite including Outlook, Word, PowerPoint, and Excel An equal opportunity employer, we do not discriminate in hiring or terms and conditions of employment because of an individual's race, color, religion, gender, gender identity, national origin, citizenship, age, disability, sexual orientation, marital status or any other protected category recognized by state, federal or local laws.
