Responsibilities

The Chief Compliance Officer oversees the Company's global Ethics and Compliance Program and its Business Conduct Policy. The Chief Compliance Officer is responsible for implementing the Program, providing policy guidance and updates, establishing procedures to assist employees to comply, and enforcing the Program when violations of the Business Conduct Policy, policies or legal requirements occur. The Chief Compliance Officer reports administratively to the General Counsel and functionally to the Chair of the Audit Committee of the Board of Directors.

Purpose and Summary of position:

  • Overseeing and monitoring the implementation of the Compliance Program and compliance with the Company's Business Conduct Policy.

  • Providing the necessary level of knowledge on existing and emerging regulatory requirements across the organization.

  • Developing the annual compliance work plan that reflects the Company's unique characteristics using a risk-based approach.

  • Guiding the Compliance Team in a productive, professional way and providing strategic direction.

  • Providing guidance, advice, and training on the Company's core policies, including the Business Conduct Policy, Competition Law Policy, and Anti-Corruption Program.

  • Preparing and presenting clear and concise compliance reports to the Audit Committee of the Board of Directors.

  • Training on policies and programs that encourage managers and employees to report suspected misconduct without fear of retaliation.

  • Independently investigating potential violations of the Company's policies or applicable laws and working with the business to implement remediation activities relating to same.

Qualifications

Required Knowledge/Skills/Abilities:

  • Strong written and oral communication skills

  • Detail and results-oriented, self-starter who can handle multiple tasks and many clients

  • Highly self-motivated with strong work ethic and ability to meet deadlines

  • Comfortable in a high-performance environment that is open, honest, and ethical; where teamwork and hard work are expected, and individual achievements are rewarded

  • Strong interpersonal skills, tact, diplomacy, and a high level of professionalism

  • Approachable, customer service-oriented attitude towards the practice of law.

  • Ability to work both independently and in a team setting

Required Years' Experience:

  • 10+ years' experience practicing law in compliance and/or litigation-related role.

  • A combination of top-tier law firm experience and in-house experience is preferred.

Required Education:

  • Juris Doctorate (JD) and licensed to practice law in the US
