DASSAULT SYSTEMES has an immediate opening for a Corporate Legal Counsel supporting our NAM operations based in either San Diego, CA or Long Beach, CA.

As a member of our North American Legal team you will supports our sales and services organizations in the Americas. You will actively manage, draft, and negotiate complex commercial agreements, particularly sales, services and license agreements for commercial software products. You will coordinate and manage contractual relationships with external customers, partners, and suppliers through completion. You will act as advisor on legal issues arising in the course of Company's business, including issues related to contract interpretation, intellectual property, corporate policy and regulatory compliance.

What will your role be?

  • Primary responsibilities are drafting, reviewing and negotiating complex software license agreements, services agreements, vendor contracts, IP licenses and nondisclosure agreements and ensuring that such contracts are executed in compliance with company policy and applicable laws and regulations.

  • You will interact with management and senior customer personnel on enterprise-level matters requiring coordination across organizational lines, as well as provide leadership to internal teams and stakeholders in formulating partnering strategies and plans, and in defining the legal risks associated with such plans.

The challenges ahead:

  • Partner closely with sales and services, and finance teams to understand applicable processes and business practices.

  • Identify and report potential risk associated with customer facing contracts and products

  • Negotiate contracts, propose creative alternatives and protect the Company's position to mitigate risk

  • Collaborate extensively and positively with sales, services and other internal teams

  • Collaborate extensively with members of the legal team to ensure conformity of contract terms globally

  • Draft letters, memos, departmental and/or company communications and other legal documents

Your key success factors

  • Juris Doctor from an accredited US law school

  • Admission to the California Bar

  • Work onsite at DS local offices; no off site or work from home

  • Consistently demonstrates the highest level of integrity without compromise with regards to ethical standards

  • 5 - 8 years of legal experience at either a law firm or in-house, or both

  • Significant experience in drafting, reviewing and negotiating contracts, particularly with large, domestic and international customers

  • Ability to prioritize and manage multiple projects simultaneously while also managing critical deadlines

  • Flexible, able to quickly adjust to evolving internal and external customer requirements, including deadlines

  • Highly organized with critical attention to details

  • Ability to build relationships with internal clients and Legal Department along with the ability to work independently and/or within a collaborative team structure

  • Positive, self-motivated individual with high level of enthusiasm and willingness to learn and incorporate coaching and instructions into daily tasks and assignments

  • Strong functional use of Microsoft Office Excel, Word, PowerPoint

  • Strong communication skills in two parts: 1.) very strong writing skills utilizing the rules of English grammar; 2.) verbally clear, concise, and grammatically correct oral (speaking) communication skills in English

Pluses, not required

  • Experience in software industry or with software-specific agreements, particularly enterprise license or services agreements

  • Experience with government contracts

  • In-house legal experience

  • Experience with litigation-related matters

  • General corporate law experience including corporate governance matters and mergers and acquisitions

The Job The Legal Counsel is a Director-Level member of SCAN' s Legal Department and reports to the General Counsel. The Legal Department partners with SCAN's business leaders to foster legal and ethical behaviors in achievement of SCAN's mission. The Legal Counsel provides advice and counsel on a broad range of health care issues, including but not limited to, contracts, regulations, and litigation. You Will * Work collaboratively with members of the legal department to fulfill the legal, contractual, and regulatory obligations of the organization. * Collaborate with the Legal team to provide well-informed and expert legal advice and guidance related to a variety of matters including contracts, response to regulatory action, compliance activities, and litigation. * Monitor and research legislative and regulatory issues and trends of interest to the company. Anticipate changes impacting operations, notify management and recommend preparatory actions. * Work collaboratively with a broad range of stakeholders throughout the organization to develop and maintain strong relationships with SCAN business units. * Review and negotiate various legal transactions and documents, including provider agreements, vendor agreements, and software licenses, among others. * Coordinate and oversee the engagement of external counsel. * Maintain professional and technical knowledge by attending educational workshops; reviewing professional publications; establishing personal networks; and participating in professional societies. * Other duties as assigned. Requirements Your qualifications * Required: Law Degree from an ABA accredited law school and California Bar membership. * Minimum 5 years of relevant legal experience in a law firm and or managed care setting. * Expertise providing managed care legal advice to health plans and/or providers with a focus on Medicare and/or dual programs preferred. * Knowledge of Medicare Modernization Act, Knox Keen Health Care Service Plan Act, HIPAA, Stark laws and False Claims Act preferred. * Strong organizational skills; ability to multitask. * Ability to appropriately maintain confidentiality. * Strong analytical and critical thinking skills required. * Personal presence and the professional demeanor needed to work with all levels of individuals throughout the organization. * The ability to collaborate as team player and to adapt to change, master new skills, and assume additional responsibilities as needed. * Practical and business oriented with the ability to quickly integrate into partnerships and corporate culture. * Hardworking with a "roll up your sleeves" attitude.
