Works under limited supervision and serves as a liaison between the Company's in-house attorneys and other departments in the Company, primarily by assisting the Policy Coordinator in matters relating to corporate governance and policies, and also supporting other Company in-house attorneys in other Legal Department matters, as required from time to time. Secondarily, providing intermittent support to the Corporate Real Estate Services Department under the direction of the Assistant General Counsel Real Estate as and when approved by the Policy Coordinator.
Assist Policy Coordinator and other personnel in the Legal Department in various corporate functions, including, among other things: Serving as the primary liaison between the Policy Coordinator and other Company departments to gather and process information related to the policy review process.
Professionally and effectively communicating with policy owners, including senior Company officers, by e-mail and telephone for purposes of providing reminders about policies coming due for review and/or obtaining the status about policies under review. Day-to-day management, and accuracy, of the master policy list, master procedures list, and the corporate policies site on the Company Intranet. Managing the policy review process so that it complies with applicable Company policies and procedures.
Maintaining and organizing Excel-based logs, reports, schedules, and databases to organize and record information utilized by Legal Department. Preparing and obtaining approval for correspondence, charts, analyses, memoranda, and reports utilizing MS Word or MS Excel. Performing legal research and analysis of various federal, state and agency laws, rules, regulations and guidelines.
Gathering documents from Company personnel to respond to regulatory inquiries. Communicating with corporate personnel, including by e-mail and telephone, to obtain information related to corporate charters under review and related governance documents. Performing special projects and additional duties generally relating to the forgoing.
Assisting Assistant General Counsel-Real Estate with real estate-related reports and letters, as needed. Providing ancillary support to Corporate Real Estate Services, including assisting with communications to landlords. Performs special projects, and additional duties and responsibilities as required. Where applicable and when performing the responsibilities of the job, employees are accountable to maintain Sarbanes-Oxley compliance and adhere to internal control policies and procedures.
EDUCATION AND EXPERIENCE
Bachelor's Degree (paralegal certificate a plus). Two to three years relevant experience. Prefer law firm, audit firm or legal department experience, particularly in policies, procedures, contracts and/or corporate governance.
KNOWLEDGE, SKILLS AND ABILITIES
Excellent analytical, organizational, problem-solving skills, and capable of sound judgment. General familiarity with legal research tools and the legal research process.
Capable of maintaining information confidentiality in accordance with the highest professional standards. Proficiency in MS Office products (e.g. MS Excel, including the ability to manipulated data (e.g., writing basic formulas and sorting large amounts of data)). Ability to learn proprietary banking systems and processes.
Must possess the ability to understand, comply with, and support corporate and Legal Department records management systems (e.g., file maintenance systems) in accordance with Departmental policies and procedures and to ensure maximum accuracy in properly maintaining, retrieving, and delivering relevant documents within the Department and in communications with parties outside the Department and the Company, keeping pace with significant legal document flows relating to various types of legal matters (including, e.g., litigation, transactional, corporate governance, and regulatory matters) and following appropriate policies and practices to ensure the preservation of confidentiality and applicable legal privileges. Must be highly attentive to deadlines and scheduling issues relevant to the legal department and possess the ability to effectively communicate and navigate such issues with others within the organization. Must possess the ability to research basic corporate legal, contract, and litigation documents. Must be well organized, self-motivated, efficient, and have strong interpersonal skills.
