This hire will be responsible for providing general support to our Legal Department on a wide variety of corporate and administrative matters. The ideal candidate is a self-starter with a strong work ethic that possess strong organizational and time management skills, is thorough, operates with a high attention to detail and has the ability to learn quickly. This role is based in New York, NY.

Primary Responsibilities

  • Assisting with tasks associated with closing a corporate transaction, including document preparation and organization, maintenance of closing checklists, preparation of signature page packets and organization of post-closing items.

  • Drafting a wide variety of legal ancillary documents and template corporate agreements, including operating agreements, resolutions/written consents, minutes, and non-disclosure agreements.

  • Maintaining the company's corporate structure chart and other various internal lists/charts related to entities, as well as transactional, regulatory, and other legal matters.

  • Assisting with misc. corporate filings (e.g., formation, qualification and dissolution of entities, DBA filings, name change amendments, etc.).

  • Providing administrative support such as calendar management and preparing/processing expense reports.

  • Organizing and maintaining documents in an electronic document management system.

  • Performing legal administrative ad hoc duties when requested.

Qualifications

  • 2+ years of relevant paralegal experience

  • Knowledge of corporate transactions, investment adviser regulation and/or corporate secretarial responsibilities a plus

  • A bachelor's degree and/or a Paralegal certification or comparable experience

  • Must be extremely organized, have the ability to work independently and manage multiple projects simultaneously to completion

  • Strong computer skills, including proficiency in Microsoft Office Suite and document management systems

  • Ability to multi-task, prioritize and work in a demanding, fast-paced office environment

The annualized base pay range for this role is expected to be between $75,000-$100,000. Actual base pay could vary based on factors including but not limited to experience, subject matter expertise, geographic location where work will be performed, and the applicant's skill set. The base pay is just one component of the total compensation package for employees. Other reward may include an annual cash bonus and a comprehensive benefits package.
