We are currently seeking a full-time Legal Assistant to handle the day-to-day administrative support for the General Counsel.
SUMMARY
Assist the legal department of a real estate and restaurant company with the maintenance of all entity records, renewals and formations, assist with drafting various agreements, coordinate signatures and notarizations, conduct research, gathering and summarize information in a written memorandum, draft and send correspondence, provide administrative support to attorneys and senior management, and assist with special projects as needed.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Maintain, organize, and renew entity records for limited liability companies, partnerships and corporations, including:
Maintaining and updating of the master entity spreadsheet
Filing corporate statements of information with various Secretaries of State
Obtaining Good Standing Certificates
Renewal of Fictitious Business Names
Ongoing renewals of Agent for Service of Process
Drafting and/or assisting with drafting various entity documents, including resolutions, annual meeting consents, assignments of interests, and operating agreements
Drafting business and legal correspondence
Assist in drafting of various agreements, including service agreements, lease/license agreements, and commission agreements
Organize, review, and monitor various entitlement, construction, and title documents, including permits, plans, surveys, preliminary notices and lien waivers
