Legal Assistant

Key Role:

Provide litigation support to a government client, including legal research and writing regarding issues of procurement law, policy, and procedures. Assist the DoD client with providing accurate, timely, helpful, and ethical legal or policy advice and counsel covering a wide range of topics, including ethics, acquisition, fiscal, and other areas of law. Research while considering the relevant facts, including identifying legal issues across applicable statutory and regulatory schemes, correctly applying law to facts, and identifying solutions. Analyze the drafting phase of various legal documents and research that helps the client draft proposed legislation, including developing their position on pending legislation and executive orders, preparing DoD reports to Congress on legislative proposals, and advising on the implementation of new statutes. Review various documents, including memoranda of understanding and acquisition documents to identify issues.

Basic Qualifications:

  • Ability to perform complex legal analysis

  • Ability to work within many different areas of law, including acquisition and fiscal law, intellectual property, environmental law, laws regarding the Privacy Act and Freedom of Information Act, and federal ethics regulations

  • Ability to draft legal research summaries and other legal documents which are clear, concise, logically constructed, and based on thorough analysis and sound reasoning

  • Ability to obtain a security clearance

  • BA or BS degree

Additional Qualifications:

  • Secret clearance

VIEW JOBS 11/12/2018 12:00:00 AM 2019-02-10T00:00 Senior Legal and Business Affairs Counsel, Children's Media & Education DEPARTMENT: General Counsel STATUS: Regular/Full-time/Exempt JOB OBJECTIVE: To support the Children's Media and Education ("CME") business unit by providing counsel to PBS management and staff as they pursue various business initiatives; collaborate with a wide variety of internal personnel involved in the development, production and exploitation of children's and educational content; negotiate and document transactions for the benefit of PBS and CME, and identify and resolve related business and legal issues and represent the interests of PBS to external enterprises. ESSENTIAL DUTIES: * Negotiate and draft contracts that reflect deal terms that are consistent with PBS corporate initiatives and policies. * Serve as the primary Legal and Business Affairs attorney for PBS Kids and other CME content. * Develop an understanding of the CME business drivers. * Participate collaboratively in content decisions and negotiate contracts within agreed upon parameters. * Serve as an integrated member of the CME participating in PBS Kids matrix team and other client meetings. * Advise CME executives on legal and business affairs issues. * Provide regular status updates on negotiations and contracts. * Supervise the work product of outside counsel and junior attorneys and/or paralegals working on CME production, distribution, acquisition, development and related agreements. * As assigned, provide legal services for other content matters. * In connection with job responsibilities: * Create and maintain form templates to provide consistency in all contracts; * Craft new language based upon novel provisions negotiated in each particular deal and respond to comments received from opposing counsel; * Provide executives and client groups with legal advice on production, programming and content rights issues; * Manage legal and rights issues related to programming agreements; * Develop and maintain successful relationships with clients, production companies and producers; and * Remain current with the latest industry trends and developments. MINIMUM EXPERIENCE REQUIRED: * 10+ years' experience in the television/entertainment industry negotiating, drafting, and administering production and license agreements. * Extensive knowledge of entertainment law. * Experience in the children's media and/or education market. * Familiarity with guild agreements. MINIMUM EDUCATION/TRAINING REQUIRED: * J.D. degree * Knowledge of various technological advances/changes in the distribution of programming content, e.g., distribution via the internet, wireless devices, OTT, video-on-demand (VOD), downloading, streaming, podcasting, etc. * A willingness to participate in Continuing Legal Education and other coursework to keep current with trends in the relevant legal fields. * Strong computer skills particularly in MS Office Suite (Word, Excel, PowerPoint and Outlook); familiarity with legal word processing (e.g. redlining and tracking changes in agreements). * Licensed to practice law and eligible for admission by the Virginia State Bar as a Virginia Corporate Counsel. OTHER SKILLS/ABILITIES REQUIRED: * Strong verbal communication and interpersonal skills to lead meetings and to contribute to deal strategy, to negotiate and interact with producers and outside attorneys, and to develop and maintain excellent client relations. * Ability to serve as a thought leader. * Solution and results-oriented mindset with very strong writing/drafting skills in order to capture difficult and complex rights/concepts and the ability to move deals forward to successful and timely conclusions. * Excellent attention to detail. * A willingness to train peers and subordinates and an approach that favors sharing information openly and proactively. * Ability to work effectively under pressure and independently. * Excellent problem solving skill, integrity and personal judgment. * Fiscal responsibility.
