Role Summary:As a member of the USCAN legal team, Lead Counsel will play an important legal role as a strategic business partner on behalf of GE Healthcare in structuring, drafting, and advising commercial transactions and other advice in support of Healthcare's Equipment, Services and Digital businesses for the USCAN Region
A Lead Counsel, Commercial is responsible for the day-to-day activity of negotiating, structuring and drafting commercial contracts with GE Healthcare key strategic and corporate account customers. The Lead Counsel is also responsible for maintaining and educating on commercial policies and procedures, and ensuring consistent application of these throughout the business, through sound partnering with the business and functional teams.
Acting as a business partner by applying combined business and legal judgment to proposed deals, relationships and other issues requiring legal or compliance attention.
Drafting, reviewing and negotiating strategic business agreements and transactions such as (but not limited to) customer sales contracts, amendments and sales agreements.
Advising the business on compliance, regulatory, privacy, intellectual property, antitrust and advertising/promotional matters related to commercial activity.
Supporting on dispute resolution, risk management and litigation where appropriate.
Providing legal leadership on specific commercial areas as identified that may include government, channel partners and/or other focus areas.
1. JD (or equivalent) with active bar membership.
2.5 years of business law experience at a large law firm or corporate legal department supporting complex businesses in a regulated environment, including drafting, negotiating and closing complex business transactions (i.e. purchase and sale, licensing and distribution agreements).
3.Ability to communicate effectively and articulate complex ideas in an easily understandable way prioritize conflicting demands, and work in a fast-paced, demanding and collaborative environment and excellent drafting skills.
Desired Characteristics:1. Experience of the Healthcare industry and previous exposure to medical industry regulations (FDA, Medicare/Medicaid anti-kickback).
2.Contracting experience with federal government customers.
3.Demonstrated experience providing legal advice in a highly regulated environment.
