Wholesale Banking provides financial solutions to businesses across the United States and globally. Our nine major business lines include Business Banking, Middle Market Banking, Government and Institutional Banking, Corporate Banking, Commercial Real Estate, Financial Institutions Group, Wells Fargo Commercial Capital, Wells Fargo Securities, and the Investment Portfolio. The Mergers & Acquisitions Group within the Investment Banking & Capital Markets division of Wells Fargo Securities (WFS) is seeking an experienced Analyst to join its Charlotte (NC) office.

The M&A Group consists of approximately 100 professionals located in seven offices, including Charlotte, Houston, New York City, San Francisco, Washington, D.C., London and Hong Kong. Industries covered in the Charlotte office include, but are not limited to, Consumer & Retail, Energy & Power, Financial Institutions, Healthcare, Industrials and Media & Telecom/Business Technology Services (BTS).

The Analyst will play a key role in all aspects of the advisory process and will work closely with members of the deal team to execute on financial and strategic advice across a variety of transactions, including acquisitions, corporate defense assignments, divestitures, exchange offers, joint ventures, leveraged buyouts, mergers, recapitalizations, restructurings, and spin-offs, for domestic and multinational corporate clients (both public and private).

Key responsibilities include, but are not limited to:

  • Creating detailed financial models used for valuation (DCF, LBO, merger plans, accretion/dilution, comparable company and transaction analysis)

  • Preparing marketing documents, including pitch materials, confidential offering memoranda, management presentations, fairness opinions and board presentations

  • Conducting extensive financial, industry, economic, product and regulatory due diligence to evaluate the risk/return parameters of a transaction

  • Supporting senior bankers in their relationship management responsibilities, including interaction with current and prospective clients

  • Participating in all aspects of deal coordination, including conducting due diligence efforts, drafting and reviewing marketing materials and liaising with potential buyers, other advisors and team members

Team members support our focus on building strong customer relationships balanced with a strong risk mitigating and compliance-driven culture which firmly establishes those disciplines as critical to the success of our customers and company. They are accountable for execution of all applicable risk programs (Credit, Market, Financial Crimes, Operational, Regulatory Compliance), which includes effectively following and adhering to applicable Wells Fargo policies and procedures, appropriately fulfilling risk and compliance obligations, timely and effective escalation and remediation of issues, and making sound risk decisions. There is emphasis on proactive monitoring, governance, risk identification and escalation, as well as making sound risk decisions commensurate with the business unit's risk appetite and all risk and compliance program requirements.

Required Qualifications

  • 1+ year of capital markets industry experience; or 2+ years of financial services industry experience

Desired Qualifications

  • Ability to work effectively, as well as independently, in a team environment

  • Ability to work in a fast paced deadline driven environment

  • Financial modeling experience

  • Strong organizational, multi-tasking, and prioritizing skills

  • Excellent verbal, written, and interpersonal communication skills

  • Strong analytical skills with high attention to detail and accuracy

Other Desired Qualifications

  • Previous M&A experience preferred

Job Expectations

  • Registration for FINRA Series 63 (or 66) must be completed within 90 days of hire date if it is not available for transfer upon hire. FINRA recognized equivalents will be accepted.

  • Registration for FINRA Series 79 must be completed within 90 days of hire date if it is not available for transfer upon hire. FINRA recognized equivalents will be accepted.

Primary Purpose: Our performance and analytics team at Sterling Capital Management, LLC provide the data (performance, characteristics, attribution, risk measures) distributed externally via marketing materials, new business proposals, regulatory filings, etc., along with internal requests for the portfolio managers and senior management. This position is involved in running data and providing analysis for new business development; for example peer analysis and also sample proposed portfolios. Specific activities may change from time to time. * Responsible for the construction and maintenance of composites, related disclosures and presentations along with verification of data used in performance reporting and GIPS compliance. * Perform tasks to maintain the integrity of all account, composite, and index performance data for the firm (update performance, maintain account/composite assignments, create/terminate composite groups, upload and review benchmark data, dispersion, etc.) * Ensure composite performance results are calculated, constructed, and presented according to the Global Investment Performance Standards (GIPS) * Ensure all inputs to and processes to generate accurate performance returns are efficient and produced on a timely basis to support the client service and marketing team. * Generate holdings based characteristics, return based risk statistics and attribution for equity and fixed income products for quarterly marketing materials, RFPS/RFIS and ongoing direct requests. * Review monthly and quarterly marketing collateral produced for distribution via the institutional, wrap/sma and mutual fund channels. Focus is on adherence to the GIPS standards via the required disclosures along with data integrity. * Support sales and portfolio manager requests including peer rankings, competitor analysis reports, fee comparisons, and other ad hoc requests. * Cross train with existing team members to provide secondary line of defense; assets under management reporting, model allocations, APL/Wrap processes and procedures. * Assist in building out and maintaining documented procedures for critical tasks and functions.
