SUMMARY

Manages the internal audit process of all Pella Corporation Divisions/Subsidiaries for the CFO and Corporate Controller to assess effectiveness of controls, accuracy of financial records, and efficiency of operations. Manages the implementation and ongoing compliance requirements associated with Sarbanes-Oxley Section 404 (SOX) reporting requirements.

Manages the in-sourced internal audit department and leads compliance requirements for the Company. In addition, plans and controls the year end closing process and benefit plan audits by working with and through the external auditors and the finance departments of all Pella Corporation Divisions/Subsidiaries. Has corporate responsibility to insure the Company has the necessary internal controls in place to protect Company assets. Prepares and compiles information for presentations to the Audit Committee and Board of Directors.

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned.

Possesses a complete understanding of current Generally Accepted Accounting Principles (GAAP) and the impact of such principals on all Pella Corporation Divisions/Subsidiaries.

Annually works with Finance management in preparing the internal audit and SOX plans for the following year for the review and approval of the Audit Committee of the Pella Corporation Board of Directors. Prepares the proposed audit and SOX plans for review by the Audit Committee.

Consistent with the approved internal audit and SOX plans, manages the audits of the records, internal controls (including computerized information system controls and security) and processes at all divisions and locations of the Company including all manufacturing and sales subsidiary divisions. Coordinates on internal and SOX audits including leading meetings and developing communications with auditees and company management.

The audits are accomplished through interviews with employees, documentation of processes (both intended and actual) and detailed examination of company records. The output of the audit is a formal report of audit issues, an assessment of the severity of the issues and recommended action items (including efficiency improvements) that is reviewed with Company management. Compiles the audit results for review each year by the Audit Committee.

Coordinates the planning and execution of IT related internal audits and SOX 404 cycles with the CIO of Pella. This includes contributing to the assessment of additional technologies needed for control enhancements, the assessment of organizational responses to noted control deficiencies, and the determination of appropriate audit attention to IT related cycles/processes.

Coordinates the planning and execution of the year-end closing process by working with and through the external auditors and the finance departments of all Pella Corporation Divisions/Subsidiaries. This includes the following:

  • Coordinating planning meetings with the external auditors and financial management of all Divisions/Subsidiaries.

  • Coordinating and participating in the Audit of year-end physical inventories of all Divisions/Subsidiaries, as appropriate

  • Coordinating the preparation of year-end closing schedules and work paper requests as well as insuring compliance with the schedules.

  • Coordinating and conducting year end audits and reviews (directly and indirectly) at selected Divisions/Subsidiaries.

  • Assisting with resolving issues with external auditors.

  • Planning year-end sign off meeting with the external auditors and Pella management including the CEO.

  • Preparing the audit results for review by the Audit Committee.

Coordinates the planning and execution of the annual benefit plan audits and associated compliance filings.

Annually conducts a review of employee compliance with the Company's Conflict of Interest Policy. This includes a review of the policies content and direction with Pella's General Counsel to ensure compliance with applicable laws as well as the strategic vision of the organization. Prepares the results for review by the Audit Committee.

Provides support to the General Counsel's office regarding Pella's compliance with and enhancement opportunities for various Corporate Governance functions. This includes coordinating information with both the external auditors and third-party consultants to determine best practices and regulatory requirements.

Insures that appropriate policies and procedures are in place and being followed at all Divisions/Subsidiaries of Pella Corporation.

Analyzes data obtained for evidence of deficiencies in controls, duplication of effort, extravagance, fraud, or lack of compliance with laws, government regulations, and management policies or procedures.

Conducts special studies for management and various monitoring controls such as those required to discover mechanics of detected fraud and to develop controls for fraud prevention.

Oversees the accounting and cash management functions of Pella's two private foundations.

Based on the needs of the business, the Internal Audit Manager will participate in other projects. Projects could include but are not limited to:

  • Participate in acquisition due diligence including purchase price determination, internal control assessments, and integration activities

  • Assistance with the production of the Pella Corporation Annual Report

  • Performance of employee/vendor investigations as deemed necessary

  • Participate in projects designed to increase knowledge of Pella Corporation. Examples of projects include cost of quality, appropriation request post audits, various training events, etc.

SUPERVISORY RESPONSIBILITIES

The Internal Audit Manager has oversight responsibility for one individual.

EDUCATION and/or EXPERIENCE

Bachelor's degree with an accounting major (B.A.) from four-year college or university. Four to six plus years of accounting related experience desired.

Experience in dealing with external auditors and SOX 404 experience desired. Additionally, experience in preparing presentations that go to Executive Management and/or Company Board of Directors.

COMPUTER SKILLS

Word, Excel, Power Point, and Outlook. Computer Programming, Internet and database skills would be a plus.

CERTIFICATES, LICENSES, REGISTRATIONS

CPA and/or CIA designation desired.
