The Intellectual Property Counsel is responsible for advising internalclients and managing outside counsel on a wide range of legal and intellectual property matters, including patent portfolio management, trademark portfolio management, technology agreements, and due diligence support.

LabCorp is seeking an Intellectual Property Counsel with the following responsibilities:

  • Provides counsel relating to, and strategic management of, the Company's worldwide patent and trademark portfolios, including clearance and usage.

  • Provides counsel to the Company's management and scientific teams regarding intellectual property matters.

  • Drafts, reviews, negotiates, and advises on intellectual property contracts i9ncluding, but not limited to: confidentiality agreements, material transfer agreements, service agreements, and licenses

  • Provides counsel and support of corporate development initiatives, including intellectual property due diligence for potential mergers and acquisitions.

  • Develops a thorough understanding of and familiarity with the Company's business, its people, technology, markets, facilities, customers and competitors in order to assist with the achievement of business objectives.

  • Provides training and makes presentations to Company personnel regarding intellectual property legal issues.

  • Manages outside counsel and legal expense budgets.

  • Performs other duties as assigned.

  • Travel 15%



  • A Jurist Doctor (JD) degree from an ABA-accredited law school, and membership in good standing of North Carolina or other state bar is required.

  • Minimum of seven (7) years of relevant experience in either a corporate or law firm setting.

  • Background and/or experience in chemistry, biotechnology, or biology is preferred.

  • Excellent critical thinking and decision-making skills.

  • Excellent written and verbal communication skills.

  • Strong interpersonal skills, with an ability to work well in a dynamic, fast-paced environment and interact effectively with internal and external business partners.

  • Ability to exercise independent judgment, and to work with and maintain confidential and sensitive information.

  • Ability to manage a large portfolio and variety of claims and projects.

  • Knowledge of Microsoft Word, Excel, and PowerPoint.

  • Local candidates, strongly preferred

This is an important in-house legal role as a member of the Endurance legal team and will report to Senior Corporate Counsel. Primary responsibilities of this role, as described more fully below, would be to understand business objectives in order to provide pragmatic and relevant legal advice and legal services across several subject areas in domestic and international jurisdictions. Responsibilities: * Act as lead counsel for all vendor and supplier contracts and NDAs, including analyzing, structuring, drafting and negotiating agreements and amendments, including in particular, SaaS agreements and software license agreements. * Work closely and collaboratively with business owners from across the organization, and partner with the Procurement team to ensure that the Company's contract review process is efficient and effective. * Ensure that legal objectives and standards are properly reflected in the Company's contracts and consistent with the Company's risk standards. * Address and resolve open issues and disputes with third parties. * Draft and revise form agreements, including master services agreements and NDAs. * Provide training, legal guidance and support to contract managers. * Assist with developing and improving contract management system. * Deliver legal advice to internal stakeholders in a timely manner. * Review and advise on the Company's use of open source and third party intellectual property and on related licensing issues. * Provide expert level advice and guidance to Endurance management and team members on other legal matters, including privacy, security, intellectual property, marketing and consumer protection. * Stay abreast of and advise on relevant policy and legal issues affecting the internet and the Company's relationship with its suppliers, including for example the EU General Data Protection Regulation. * Contribute toward building a positive, collaborative work environment, building partnerships through teamwork and business-focused communication. Qualifications: The successful candidate must have the following experience, skills, and education: * J.D. degree and Massachusetts state bar membership. * 5+ years of corporate, IP and/or commercial transactional legal background, preferably at a major law firm and in-house. * Strong transactional and general business and commercial law experience, including drafting, negotiating and enforcing commercial contracts. * Background in technology and/or computer science a plus. * Experience in building processes, procedures and controls cross-functionally in fast paced environments. * Ability to build trusting partnerships with managers and executives and contribute to matters of strategic relevance. * Self-starter and results oriented, with strong attention to detail and the ability to initiate and adapt to change. * Highly effective negotiation and dispute resolution skills, solid business instincts and judgment. * Strong analytical capabilities, creative and flexible problem-solving skills and decision making ability. * Ability to juggle multiple projects and deadlines with ability to drive matters to timely resolution.
