Requirements

Mission:

As Spartans General Counsel, you will be the guardian of the entire Spartan operation from legal and governmental risk. This is an exciting opportunity to build a new function at Spartan and support every department in the organization. You will act as consultant for every department to maximize protections in our contracts while maintaining a business-friendly approach to relationships. You will exercise our GRITT values to support the business with your unique skills and desire to win in appealing property tax assessments, negotiating transaction contracts, and de-risking lender documents. Where your capabilities ends, youll coordinate with outside local or niche counsel to produce the best outcome for Spartan.

Main Objectives and Responsibilities:

• Advise executive team on various matters such as legal rights, and new and existing laws
• Review title, survey, and zoning reports to protect the company from future risk
• Prepare transaction contracts for acquisitions, review loan documents for lending, oversee AIA agreements for construction
• Oversee closing document creation or review of deeds, assignment of leases, and bills of sale
• Contract with local counsel for property tax law, opinion letters, governing law concerns, etc
• Manage the legal side of dispute resolution of employment, contractor, or transaction concerns
• Negotiate or influence jurisdictional offices over zoning, permitting, building code, or property assessment disagreements
• Oversee compliance documents such as operating agreements, articles, minutes, amendments
• Liaise with outside counsel on all niche matters like securities, intellectual property, or tax

Risk Taking Understand the degree of risk for each concern and understand that an investment shop pursues risk as part of its business plan. Know when the risk is appropriate or not and how that determines the level of concern to adopt.

Experience Have seen it all in the world of real estate, investing, and building a business, and have come to appreciate the novelty of regularly learning and deploying new subject matters at an expert level.

Qualifications:

• Juris Doctor degree from accredited, top-tier law school
• 5+ years of practice with an established law firm
• Proficient legal experience in real estate transactions and lending
• Experience with fund investments, corporate governance, employment, securities, IP, and contract law
• Excellent verbal and written communication skills
• Proficient understanding of business activities, sensitivities, and confidentiality
