General Counsel- San Francisco Bay Area (853-Sls)

Our client, a rapidly growing and privately-owned technology company has exclusively retained Solutus Legal Search to assist the executives with their search for a stellar General Counsel (GC). This executive will lead a team of impressive legal professionals as well as IT, and IT security and will report directly to the CEO.

The GC will perform a key leadership role and will be responsible for all legal affairs of the organization. They will serve as a hands-on business partner with the ability to think strategically and perform as a proactive and hands-on leader. The GC will also serve as a valued business partner and play a pivotal role in scaling global operations.

The ideal candidate will have prior General Counsel experience with a background in a wide range of substantive areas including corporate securities, corporate governance, Board of Directors and Corporate Secretary work, commercial transactions, IP, and employment. IPO experience is strongly desired, but not a strict requirement. Experience in the AdTech industry is a plus, but not required. This role is located in the San Francisco Bay Area (Mid-Peninsula) and will require 3x/week in office.

Experience managing high-performing legal teams is a must. This attorney will also have superb communication and project management skills, analytical skills, and sound business judgment. They will be responsive, proactive, a team player, critical thinker, intellectually curious and a problem solver. They will lead with humility, deep thinking, and respectfulness.
Key Responsibilities

• Act as a true legal and business partner to internal business teams on complex legal topics pertaining to general corporate matters, commercial transactions, compliance, privacy, advertising/marketing, and employment.

• Handle general corporate and corporate governance matters, including Board materials, consents, minutes, and manage internal processes and policies.

• Prepare and manage IPO process.

• Manage external counsel.

• Build trust and influence the leadership and business roadmap.

• Responsible for anticipating and addressing potential legal risks.

• Act as a partner to the business teams.

The ideal candidate will possess the following

• The successful candidate must possess strong business acumen and translate complex legal principles into practical and effective business solutions - quickly and decisively. A savvy, confident, detail-oriented, and experienced attorney with experience in a technology company environment will be advantageous.

• 15+ years of legal experience.

• General Counsel/CLO experience.

• Business acumen with business oriented legal solutions and the ability to effectively collaborate with the other company leaders to move business forward.

• Must be a doer: Ability and desire to roll up one's sleeves and do the work as well as handle the big picture strategic matters.

• Management experience.

• Excellent verbal and written communication skills.

• Down to earth and positive/can-do attitude.

• Executive presence and gravitas.

• Effective interaction and relations with top-level management and Board of Directors.

• Proven track record of strong negotiation, communication, organizational, and management skills.

• Responsive.

• Quick thinker, responsive and reliable.
  Compensation is competitive and targeted at a base salary of $425,000-$440,000 plus a 50% target bonus and strong equity valuation. Overall compensation will be determined by the number of years of directly relevant experience and history of success.
