Wellsource, Inc., a health software company in Tualatin, is seeking a senior-level associate attorney for a part-time position averaging 10 hours per week, occasionally up to 20/week. Salary and benefits based on experience.

Primary Responsibilities:

  • Work closely with internal and external stakeholders to fully support the legal demands of the organization.

  • Act as a trusted advisor to the business on legal issues and the legal impact of business decisions and strategies.

  • Draft, analyze and negotiate a variety of contracts including SaaS health technology software licensing agreements, service level agreements, business associate agreements, nondisclosure agreements, and vendor agreements.

  • Oversee the company's document retention policies and create/maintain corporate records on behalf of the shareholders and board of directors.

  • Ensure company compliance with data privacy and security regulations including HIPPA, GINA, ADA and GDPR.

  • Oversee employment law needs of the organization, including documentation pertaining to hiring (confidentiality and noncompete agreements), termination (COBRA notices, severance agreements, etc.), and general employment policies (i.e., Employee Handbook).

  • Maintain the company's trademarks by keeping registrations current, and monitoring possible cases of trademark infringement, including the drafting and sending of cease and desist letters when necessary.

The ideal candidate will:

  • Have a background in SaaS, technology, and healthcare contracting.

  • Possess an understanding of data privacy and security regulations such as HIPAA and GDPR, as well as Section 508 digital accessibility requirements.

  • Have experience with SOC 2 certifications and NCQA certifications.

  • Be proficient working independently in health law/regulations, IP, employment, and contracting.

  • Be passionate about health and wellness and improving the health of others.
