We have a vacancy for a General Counsel to join our team based in Austin, Texas, reporting to our CEO/COO. The General Counsel leads the company's legal affairs, including corporate legal strategy, regulatory compliance across all geographies, and the provision of legal services to achieve corporate goals. Acting as a key advisor to Habitat's board and senior management, they oversee contract review and drafting while managing external legal counsel to ensure alignment with the company's objectives.

Your responsibilities will include:

Corporate

  • Advise the company on all corporate matters, including formation of corporate entities and drafting of governing documents, corporate governance, commercial, labor and compensation matters.
  • Maintain and safeguard official and corporate records, certificates, bylaws, minute books, and other key documents required by law or regulatory agencies.
  • Manage and protect the company's intellectual property rights.
  • Manage litigation matters and other legal actions and proceedings involving the company.
  • Work closely with outside counsel, as needed, to provide the best possible service; develop and implement policies and best practices to make efficient use of outside counsel and manage cost.

Transactions and Contracts

  • Work with our Business Development team as lead counsel on all corporate transactions, including structuring, negotiation and drafting of optimisation agreements, power trading and derivative contracts and other commercial agreements with clients as well as any joint venture agreements, financing and procurement agreements, confidentiality agreements, etc.
  • Develop and implement transaction approval policies and procedures.
  • Review company contracts for goods and services, commercial transactions, employment, finance, etc., provide guidance and formal sign off as needed on terms and conditions for company contracts, commitments, and obligations.
  • Catalogue/track Ts&Cs of commercial and other agreements to ensure terms are complied with

Regulatory and Compliance

  • Manage the company's regulatory and compliance functions; track/catalogue requirements and ensure compliance with all applicable laws and regulations in the jurisdictions where the company operates, including employment and customer protection regulations.
  • Establish, implement, and ensure adherence with the company's compliance manual, legal policies, internal controls, and applicable laws and regulations.
  • Track/catalogue requirements and monitor regulatory compliance issues and developments under applicable rules, laws, and regulations; design or modify policies and procedures to achieve compliance and to prevent and detect violations of regulatory requirements.
  • Oversee the preparation of regulatory filings and serve as the main point of contact with regulators.

'Must have' skills and experience:

  • J.D. degree from a top-tier law school; licensed to practise law in Texas or eligible for a limited in-house counsel licence.
  • 5+ years of corporate legal experience, including both in-house and AmLaw 200 firm roles, with expertise in power markets (e.g., FERC/regulatory work, renewable energy projects, battery energy storage systems).
  • In-depth knowledge of power markets and renewable energy sector, including PPAs, ISDAs, FTRs, and risk management products, with familiarity in ERCOT, PJM, MISO, and/or SPP.
  • Broad legal and regulatory experience across multiple jurisdictions, with strong contract negotiation skills.
  • Ability to provide commercially minded legal advice and translate complex legal issues into practical business solutions.
  • Strong communication and collaboration skills, with experience working under pressure across time zones and managing competing priorities.
  • Exceptional attention to detail, analytical ability, and sound judgment, with a proactive approach to emerging legal trends.
