As the General Counsel, you will be the primary legal advisor to the executive leadership team and the Board of Directors, overseeing legal compliance and regulatory affairs for our Construction based client. You will provide strategic legal counsel and guidance on complex matters, ensuring compliance with all applicable laws and regulations.

Key Responsibilities: Provide strategic legal advice to the executive team and Board of Directors on corporate governance, business decisions, operational planning, risk management, and other major initiatives. Provide legal guidance on cross-border activities, including compliance with licensing, safety regulations, and employment law across multiple jurisdictions within North America.

Oversee all regulatory compliance for the organization, managing risk while advising on key regulatory developments. Collaborate with internal corporate functions to ensure adherence to legal requirements. Identify, assess, and mitigate legal risks associated with the company's operations, including contract disputes, regulatory actions, and potential liabilities.

Draft, negotiate, and review contracts and subcontracts related to utility construction projects, ensuring they align with the company's business objectives and protect its interests. Provide expert legal advice to the Board of Directors on governance issues, supporting the development and implementation of board resolutions, ensuring compliance with corporate bylaws. Prepare and present legal reports and updates to the Board and executive leadership, ensuring they are informed of material legal matters.

Oversee and manage a team of legal professionals, including the Contracts Manager and Licensing Manager, providing guidance and mentorship. Key Qualifications: Juris Doctor (J.D.) degree with at least 10 years of experience in corporate law, commercial law, or construction law.

Member in good standing with a recognized state bar in the US or Canadian bar where practicing, with proven experience in handling cross-border legal matters. Strong understanding of federal, state, and provincial regulations governing the construction industry. Proven ability to provide strategic legal advice and counsel to senior executives.

High-level communication and presentation skills, coupled with the ability to convey complex legal matters to non-legal stakeholders in a clear and concise manner. Expertise in negotiating high-value contracts and managing legal risks associated with utility projects, infrastructure development, and subcontractor agreements.
