The Role

We're hiring a General Counsel to join our Operations team! The main focus of this position is to provide expert legal guidance and support across the organization's various functions, including contracts, compliance, litigation, and risk management. Reporting directly to our Chief Operating Officer, the General Counsel will be responsible for ensuring that the company's operations are legally sound and aligned with regulatory standards, along with being responsible for managing legal matters alongside external counsel and our internal stakeholders. Location: Candidates must permanently and currently reside in the United States. Employees are not required to work in the office on a regular cadence, but occasional travel to HQ or off-site locations will be required.

What You'll Do

  • Provide Legal Advice & Guidance: You'll be expected to provide legal counsel to all departments as needed, mainly including but not limited to, Sales, Finance, and Operations. You will advise on issues regarding compliance, regulatory matters, contracts, disputes, and intellectual property and partner with outside counsel and stakeholders as needed (i.e., regarding employment law).
  • Lead Contract Reviews & Negotiations: You will be expected to draft, review, and negotiate a wide range of contracts, including vendor agreements, mid-market customer contracts, non-disclosure agreements (NDAs), and licensing agreements, ensuring that all contracts are in compliance with local, state, and federal laws and corporate policies. You will build and establish a contract review submission process as well as establish Service Level Agreements (SLAs) for managing the queue.
  • Own Risk Management: You will identify and assess potential legal risks to the organization and develop strategies to minimize such risks. You will provide proactive legal guidance to help avoid litigation and disputes.
  • Uphold Regulatory Compliance: You will stay up to date with relevant laws, regulations, and industry standards, ensuring CompanyCam practices comply with all legal requirements. You will establish a regular cadence of internal compliance reviews and audits alongside outside counsel and the Chief Operating Officer.
  • Provide Litigation Support: You will assist with managing and overseeing litigation, including working with external counsel to provide relevant materials to CompanyCam, developing case strategies, and representing the company in legal matters.
  • Own Policy Development & Implementation: You will contribute to the development, implementation, and updating of internal policies, ensuring they align with current, relevant laws and regulations. You will partner closely with the appropriate stakeholders to provide legal guidance that ensures the integrity and application of the policy.
  • Maintain External Counsel Partnership: You will liaise with external counsel for specialized legal matters and effectively manage the dynamic, relationship, and expectations to ensure the company's interests are protected. You will partner with HR Operations for matters regarding employment law, providing insight where expertise allows.

What You'll Bring

  • Active Juris Doctor (JD) degree from an accredited law school, along with ongoing professional legal development and continuing education to stay current with industry regulations and trends.
  • Admission to the bar in the relevant jurisdiction.
  • 3+ years of experience as an in-house corporate lawyer or as a corporate outside counsel.
  • 2+ years of experience developing and negotiating customer and vendor contracts.
  • 2+ years of experience as in-house counsel experience in a B2B SaaS company, preferred.
  • 2+ years of experience working within the realm of employment law, preferred.
  • Experience evaluating and assessing risks in regard to scenarios such as business insurance and business renewal alongside relevant stakeholders, preferred.
  • The ability to effectively prioritize and delegate: you're capable of managing multiple competing priorities and delegating tasks when appropriate to ensure efficiency and effectiveness. You have the ability to task-manage oneself and others on projects.
  • A growth-minded mentality: you've demonstrated a proactive, learning-oriented approach to both legal challenges and professional development. You constantly seeks to improve skills and knowledge in a continuously evolving legal landscape.
  • Strong problem-solving skills: you have strong analytical and critical thinking abilities to assess complex legal issues and provide clear, practical solutions, consulting outside counsel as needed.
  • Exceptional communication skills: you have demonstrated the ability to provide exceptional written and verbal communication skills, including the ability to explain complex legal concepts to non-legal stakeholders clearly and concisely.
  • A strong attention to detail: you have a high level of precision and attention to detail, particularly when reviewing contracts, policies, and legal documentation.
  • A collaborative approach: You've demonstrated the ability to work effectively with teams, stakeholders, and outside counsel to ensure legal risks are identified, managed, and mitigated appropriately.
  • Strong ethical and sound judgment: you have a strong sense of ethics and integrity, with the ability to handle confidential information with discretion. You feel confident advising the company on best practices and provide guidance based on data and documentation.
  • The ability to travel to the office or meeting locations as necessary (1x/quarter on average).

Benefits & Compensation

This is a salaried position at CompanyCam. Our salary range for this position is $130,000 - $140,000 per year and is based on experience. We also offer meaningful equity and other benefits.
