Antalpha is looking for General Counsel who is a key position for our success. We are looking for a unique individual, as we are not only a startup company, but we are also a fintech provider. As such, the GC will be crucial for important partnership and strategy discussions.

  • Developing, and defining legal strategy and framework for Antalpha and subsidiary entities
  • Minimizing regulatory and litigation risk
  • Managing Legal and Compliance team
  • Creating regulatory positions, manage relationships, and carry out strategy, maximizing the probability of positive and durable business outcomes
  • Advising executive members on new laws, existing laws and legal rights that would impact functionality of the business
  • Overseeing the legal matters of the business as a whole, being the voice of legal and regulatory to the executive team
  • Managing relationships with outside counsel in the US, and abroad
  • Partnering with the COO and CFO lead the effort to revamp the corporate entity structure
  • Crafting and reviewing legal strategy in response to any litigation
  • Maintaining the companys legal documents and records


  • 5+ years of practice with an established law firm, FinTech or crypto company
  • Knowledge of statutes, rules and regulations pertaining to United States financial services and / or securities offerings
  • Knowledge of consumer data privacy regulations applicable to global software companies (e.g., GDPR, CCPA)
  • Proficient legal experience in fund investments, venture capital financing and /or M&A
  • Proficient legal experience in customer marketing and disclosures for financial products
  • Experience with corporate governance issues and corporate secretarial duties
  • Experience with FinTech companies, Blockchain technology, software licensing, and intellectual property law
  • Excellent verbal and written communication skills

VIEW JOBS 9/27/2022 12:00:00 AM 2022-12-26T00:00 <p>Overview &amp; Essential Job Functions</p><p>Position Summary:</p><p>The in-house General Counsel (GC) is responsible for managing, reporting and advising on all legal affairs of the Company, including municipal, vendor and customer contracts, mergers and acquisitions, litigations, policies and procedures, safety and environmental compliance, risk mitigation, and employee compliance. This is a highly visible and critical role, supporting the Company's operations and business growth initiatives, with far reaching impacts across the company. The GC must provide a high-level of service to the operations team, back-office support departments and executives.</p><p>Essential Job Functions and Responsibilities include:</p><ul><li><p>Advising executives, senior management and directors on all legal matters.</p></li><li><p>Coordinate all outside legal counsel in various disciplines, such as municipal contracts, litigation, employment, environmental, land use and general business transactions.</p></li><li><p>Establish and implement legal policies and procedures.</p></li><li><p>Manage all legal aspects of municipal contracts with cities, counties, state and federal agencies.</p></li><li><p>Lead merger and acquisition transactions, including the due diligence for potential transactions, real estate and capital investments.</p></li><li><p>Ensure that employee policies and procedures, benefits, hiring and terminations adhere to federal, state and local regulations, and reduce risk of employee litigation.</p></li><li><p>Evaluate and recommend renewals and/or changes to employee benefits annually.</p></li><li><p>Review and assist with property and casualty insurance renewals to ensure proper coverage and adherence to contract requirements.</p></li><li><p>Mitigate company and business risks, including supervise the safety and environmental compliance departments.</p></li><li><p>Oversee all litigations, including employment, contract and property casualty claims.</p></li><li><p>Collaborate with business unit executives and facility managers to solve legal issues and avoid legal risks.</p></li><li><p>Review and evaluate customer and vendor contracts and processes.</p></li><li><p>Keep current on legislation, laws and legal trends potentially affecting the company, employees or business.</p></li><li><p>Regularly report to the executive team and Board of Directors.</p></li></ul><p>Qualifications &amp; Environmental Demands</p><p>Required Qualifications:</p><ul><li><p>Juris Doctorate of Law from accredited, top-tier law school</p></li><li><p>Licensed to practice law in California.</p></li><li><p>At least ten years in legal practice or business law management, including contract negotiations, M&amp;A transactions, municipal contracts and employment law.</p></li><li><p>At least five years in waste management industry or similar, such as transportation, logistics or utilities.</p></li><li><p>Proficient legal experience in successful execution of business transactions.</p></li><li><p>Excellent interpersonal skills and management experience.</p></li><li><p>Ability to juggle multiple priorities and meet time pressured deadlines.</p></li><li><p>Proven problem solving, analytical, oral/written communication and customer service skills.</p></li><li><p>Proficiency with MS Office (Word/Excel/Access/PowerPoint).</p></li></ul><p>Benefits</p><p>Benefits:</p><ul><li><p>Comprehensive benefit package Medical, Dental, Vision</p></li><li><p>401K, Profit Sharing, Company Match</p></li><li><p>Employee Assistance Program</p></li><li><p>Life Insurance</p></li><li><p>Paid Vacation and Sick Time</p></li><li><p>Recognition programs</p></li><li><p>Professional development learning</p></li></ul><p>Athens will consider for employment qualified applicants with criminal histories in a manner consistent with the requirements of the Los Angeles Fair Chance Initiative for Hiring Ordinance and any other applicable state, federal or local laws.
