We are seeking a Director, Transactional Law to serve as a key member of the Alector legal team, reporting to our VP, Corporate Law. You will be primarily responsible for negotiating and drafting a broad range of transactional agreements on behalf of Alector, and helping to establish or improve processes related to Alector's contracting function. You will be able to partner with business groups across the company, including research, clinical, and business development functions and have broad involvement in work central to Alector's strategic goals. You will apply your existing strategic negotiating and drafting skills, learn new skills, and play a key role in helping grow the company and guide its direction.

Responsibilities:

  • Partner with business teams to negotiate and draft contracts with vendors, suppliers, purchasers, and customers (including master services agreements, confidential disclosure agreements, material transfer agreements, research collaborations, development agreements, licensing agreements and clinical trial agreements).

  • Create form and template agreements as appropriate

  • Advise company on best practices and legal updates affecting contracting.

  • Assist on other projects as needed

  • Manage outside legal counsel and oversight of deliverables for relevant tasks and projects.

We would love to hear from you if:

  • You have the demonstrated ability to (i) understand and digest complex transactions and agreements in order to identify relevant issues and risks, (ii) propose solutions that take into consideration the relevant business objectives and (iii) communicate those issues, risks and solutions clearly and concisely to lawyers and non-lawyers alike

  • JD degree from an accredited law school with membership in good standing with the state bar.

  • 6+ years of transactional experience as an attorney in a pharmaceutical/biotech legal department and/or a law firm supporting pharmaceutical/biotech clients.

  • Excellent business judgment

  • Strong communication and interpersonal skills, both oral and written.

  • Ability to effectively manage outside counsel, when used, and adhere to a budget
