The Director of Corporate Development (DCD) is responsible for driving the company's corporate development efforts with a primary focus on M&A paired with an organic growth thesis for all acquired entities. This individual will be the face of the company through signed letter of intent (LOI) and be a resource to the VP of Growth & Enablement and the Director of Finance & Operations Integration during due diligence and integration planning.

The DCD will work with the CEO, senior executive team, and private equity sponsor to craft and manage execution of the M&A strategy, developing a robust pipeline of targets in key geographic areas, establishing immediate rapport and trust with potential sellers and building dialogue around creatively structuring deals to align with sellers' goals and incentives.

RESPONSIBILITIES

  • In collaboration with CEO and executive management and Private Equity team, establish M&A strategy, growth plan and transaction criteria.

  • Develop target list, initiate outreach and conduct initial screening.

  • Cultivate and enhance relationships with sellers and maintain regular contact until ready to actively engage.

  • Arrange introductory call and initial onsite interview and tour.

  • Advance information gathering and evaluation activities culminating in valuation discussions with target.

  • Analyze and prepare financial data packages, including but not limited to historical and projected financials, potential EBITDA adjustments and synergies, real estate/lease summary, employee tenure and wage summary, and fixed asset overview.

  • Review transaction rationale and documents to identify critical business issues and risks relating to a proposed transaction. Prepare presentations illustrating consistency of the transaction with overall strategy of the Company.

  • Prepare confidential internal materials to be presented to and discussed with the Company's CEO and Senior Executive Team, and Board in order to build necessary approval for any proposed transactions.

  • Draft IOI and LOI to be shared with sellers and facilitate negotiation of all key deal terms with sellers and their respective advisors.

  • Work with sellers and their advisors, lawyers, and other internal contacts, to finalize various purchase documents. Manage, with involvement of others, all aspects of the closing requirements related to coordination of legal documents, suggestions to deal structure from a legal and financial perspective and communication to buy-side participants.

  • Provide regular updates to key executives and Board members.

  • Evaluate and improve diligence process from sourcing of acquisitions through signed LOI. Document internal best practices.

  • Assist in the preparation of routine and ad hoc presentations and reporting packages for senior management and board review.

QUALIFICATIONS

  • Four-year college degree required. MBA degree a plus

  • Minimum 5 years of work experience, at least 3 of which are in corporate development, M&A, private equity firm or investment bank.

  • Some experience in sales or business development a plus

  • Successful and proven track-record of interacting with small business owners

  • The successful candidate will have experience balancing multiple deal timelines simultaneously.

  • Transaction experience in executing financial and operational due diligence is required.

  • An ability to travel for new opportunity meetings and participate in deal related calls across all four U.S. time zones

  • Preferred work location is Dallas, TX, but will consider large Metroplex location with Major Tier 1 Airport hub.
