Primary Job Responsibilities: eBay seeks a highly motivated and business-savvy attorney to join the eBay legal team and serve as Director, Legal, Global M&A. This position will be the legal lead on strategic M&A and corporate transactions globally, including acquisitions, JVs and equity investments, from pipeline and planning stages through and including integration.

This position may also be called upon to handle corporate securities and SEC reporting and compliance matters, corporate finance matters and corporate governance matters on an as needed basis. The ideal candidate will be able to work independently with a high degree of sophistication and critical judgment in the following areas: o Structure, draft and negotiate complex transaction agreements, and lead global multi-functional teams. Manage internal and external deal processes and drive continuous improvements and scalability in deal processes and execution.

Advise senior management and business clients on complex matters. Actively manage internal resources, outside counsel and budget. Work closely with corporate development, accounting policy, finance, tax, treasury, and human resources functions.

Job Requirements: The ideal candidate will be able to perform the above responsibilities successfully and have the following experience: o JD degree with excellent academic credentials. o 10+ years of experience in M&A transactions (with a comprehensive understanding of M&A structures, agreements and business and legal issues in both domestic and cross-border M&A transactions). o A high level of intellectual, professional, and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills. o Flexibility and creativity in dealing with complex legal issues on a domestic and cross-border basis. o Excellent interpersonal, written and oral communications skills. o Well-organized and hard-working, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure. o Ability to work collaboratively and effectively with business clients and other legal department members. o Ability to cherish innovation, embrace change, and believe that there is always room for improvement. Prior experience in securities law matters, corporate finance matters, and corporate governance issues also a plus. eBay is a Subsidiary of eBay.

Senior Analyst, Global Legal Inventory - San Jose Job Responsibilities: * Supporting the creation and ongoing management of compliance laws and regulations (Legal Inventory) that apply to PayPal globally. * Focusing on the implementation and ongoing management of PayPal's Legal Inventory, which will include working with Legal, Compliance, and various control partners within the organization to inform, review and assist in the implementation of regulatory changes across the organization. * Managing the legal inventory database and workflow system to ensure all regulatory changes are properly identified and routed to the appropriate stakeholders for review and approval. * Providing governance and oversight to changes to global legal inventory which may include facilitating working sessions with legal and various control partners to review the applicability of a law or regulation to PayPal's products and services, providing summaries of anticipated regulatory changes and performing regulatory analysis to identify similarities between regional regulations to help facilitate the creation of regulatory "best practices" within PayPal. * Leading through influence, personal conviction, and sensitivity. Building trust and fostering relationships with key stakeholders.
