Job Description

The Director of Financial Risk and Control is charged with first line of defense responsibilities to ensure the Sarbanes-Oxley Act of 2002 (SOX) control validation program is effective and efficient in planning, assessing, and reporting effectiveness of internal controls over financial reporting. They will work closely with the Head of Financial Risk and Controls to ensure the SOX program is delivering in accordance with COSO 2013 and meets or exceeds industry standards and best practices.

This role is charged with overseeing the Information Technology SOX program, which includes leading information technology general controls (ITGC), automated controls (ITAC), vendor assessments (SOC reports), data analytics, and information used by the entity (IPE). This role will be working with key internal and external stakeholders requiring strong communication skills. This position will lead and coach SOX team members, as well as, business control and process owners.

Essential functions include:

  • Work closely with the Head of Financial Risk and Controls to oversee and coordinate the SOX program plan, including members of the team, to meet and exceed deadlines, track and document overages, identify and implement process improvements, and prepare status reporting.

  • Responsible for on-going assessments of internal control over financial reporting to verify related risks are appropriately identified, control are designed to mitigate related risks, and controls are operating effectively in accordance with COSO and to comply with SOX. It includes advising the business control and process owners related to new or updates to controls, performing scoping, coordinating and participating in walkthroughs, leading and reviewing test work, documenting observations, verifying remediation is appropriate, and creating management reporting. Make recommendations and decisions to strive for the optimum balance between implementing and executing control versus the cost of implementing controls to arrive at the most beneficial result for the Company internal control over financial reporting structure.

  • At the request of the Head of Financial Risk and Controls oversee projects to achieve stated objectives.

  • Work closely with the Head of Financial Risk and Controls to oversee and coordinate with both internal and external audit. Work to add efficiencies and enhanced alignment where possible.

Qualifications

  • Approximately 10 to 15 years performing audit work, which conforms to professional standards.

  • A Bachelors (or Masters) Degree in Accounting (preferred) or Finance.

  • Preferred - Progressive experience in a combination of public accounting (Big 4 or large regional accounting firm) and/or internal audit experience with a background in financial services is highly desirable.

  • High degree of project management expertise.

  • Effective leadership skills with experience in managing a team to drive results for ICFR compliance.

  • Strong / broad understanding of current accounting (U.S. GAAP) and auditing (GAAS) principles

  • Strong / broad understanding of banking regulations including and other regulatory reporting requirements

  • Strong / broad understanding of internal control concepts (COSO 2013) including IIA Standards and various auditing techniques.

  • Strong / broad understanding of merger and acquisition process, system implementations/integrations, accounting guidance implementations, and related controls.

  • Strong project management and organizational skills, with the capability to work on multiple projects with minimal direction in a dynamic and fluid environment with rotating priorities.

  • Pro-active, high energy, and strong interpersonal skills with a team-focused attitude, demonstrating the ability to collaborate and compromise while building constructive and effective relationships.

  • Demonstrated critical thinking and analytical abilities, including problem solving and time management skills.

  • Strong verbal and written communication skills, including report development.

Job Description As the Director of Regulatory Risk and Controls, within the broader Financial Risk and Controls Team, they will oversee the execution of the adherence, control, and substantive validation program related to regulatory reporting. Regulatory reporting validation testing includes leading regulatory reporting quality assurance, capital planning (CCAR), and liquidity control validation. The position will report directly to the Head of Financial Risk and Controls while overseeing key leaders and teams. In this role, they will oversee the planning, performance, and independent validation to safeguard external reporting integrity, including CCAR and liquidity control environment. This entails overseeing the team that performs adherence, control, and substantive testing procedures through periodic reviews of regulatory filings and controls. This position is primarily responsible to provide guidance for the purpose of ensuring feedback that enhances the accuracy of reports submitted to regulators. The position will also partner with key stakeholders in regulatory reporting to identify areas of regulatory reporting improvements, including identifying process enhancements and issues that require remediation. Primary responsibilities * Work closely with the Head of Financial Risk and Controls to oversee and coordinate the regulatory reporting validation program in order to meet and exceed deadlines, track and document overages, identify and implement process improvements, and prepare status reporting. * Responsible for ensuring an "audit-style" approach is followed and the quality of the work meets or exceeds the program standards, primarily through providing oversight of team members across multiple locations. * Responsible for monitoring that the programs are designed in such a way to ensure adherence to applicable regulatory requirements with respect to CCAR, liquidity reporting, and/or other regulatory reporting as required by regulatory agencies. * At the request of the Head of Financial Risk and Controls oversee projects to achieve stated objectives. * Work closely with the Head of Financial Risk and Controls to oversee and coordinate with both internal and regulatory agencies.
