POSITION SUMMARY STATEMENT:

The Director, Counsel, International Transactions and Governance will be responsible for providing corporate governance and general transactional support to finance, tax and treasury on complex projects and other legal issues affecting a global company with operations in 94 countries.

DETAILED RESPONSIBILITIES/DUTIES:

  • Provide corporate governance and general transactional legal support to internal finance, tax and treasury teams to execute complicated international business financing and restructuring projects

  • Collaborate with in-country outside counsel, local and international business leaders and their attorneys to plan and execute on the financing and restructuring projects

  • Determine multi-step process plans with numerous interdependencies to define legal steps and documents needed for financing, restructuring and planning projects

  • Provide general corporate governance legal support related to overall management of international entities, including board and shareholder meetings, director and officer issues, and the like

  • Provide advice regarding the application of and compliance with numerous applicable domestic and international statutory structures on a wide range of international legal activities, including capital infusions, share increases, transfers of ownership, entity name changes, mergers, entity dissolutions and formations

  • Draft and review documents related to all applicable transactional and governance responsibilities, such as board of director and shareholder actions, share transfer and contribution agreements, powers of attorney, financing documents and attestations

  • Perform additional duties as assigned

REQUIRED QUALIFICATIONS:

Skills

Experience

  • 5+ years of combined general corporate, tax and/or transactional experience with a law firm, accounting firm and/or corporate law department

  • Prior corporate governance experience for non-US entities

  • Prior international transactional experience

  • Prior in-house corporate legal experience

  • Demonstrated experience in a matrixed environment

  • Demonstrated problem solver with a positive, can-do attitude

VIEW JOBS 9/16/2020 12:00:00 AM 2020-12-15T00:00 In this newly created role within our organization, the General Counsel will report to the CFO and work collaboratively with the Chief Compliance Officer, Chief Accounting Officer, President, Founder/Chairman and other senior executives in the organization. In this role, the General Counsel will be an integral part of our strategic growth, with great visibility and advisory input to stakeholders. The right person will get to; * Draft, review and negotiate a wide range of legal contracts typical of healthcare and/or technology organizations including; MSA, confidentiality, vendor, and other business contracts. Write, review and negotiate a broad range of complex agreements with business partners, customers. * Research legal issues that could impact the way we do business including identifying applicable statues, judicial decisions and codes. * Support internal teams such as finance, compliance, sales, business development/M&A, data science, providing advice and legal perspective * Manage inside and outside legal, corporate governance, and policy-related efforts to ensure ongoing compliance with company standards, U.S. law, and government regulations. Handle legal disputes, litigation, and claims. * Collaborate closely with Chief Compliance Officer to ensure compliance with local, federal and state healthcare standards. * Advise on securities, disclosure and governance matters, and work daily with Chief Accounting Officer on accounting and reporting matters. Prepare and file with the SEC current reports on Form 8-K, proxy statements including drafting of CD&A section and proxy materials, and confidential treatment requests, and review and revise periodic reports on Forms 10-K and 10-Q, earnings releases and other press releases. Perform compliance function for insider trading, and prepare all Forms 144, 3, 4 and 5, and Schedules 13D and 13G for applicable insiders. * Oversee all Board and committee processes including preparing materials for meetings, attending meetings and drafting minutes of meetings, and communicate regularly with the Board of Directors on various corporate governance issues. Prepared Compensation Committee Charter, Annual Incentive Compensation Plan for purposes of IRS Code Section 162(m), Investment Policy, Disclosure Committee Charter, Transactions with Related Persons Policy, and Nominating and Governance Committee Charter. * Assist in preparation of equity-based compensation plan, advise the human resources department and outside stock plan administrator with respect to equity-based compensation matters, and prepare equity award agreements REQUIREMENTS * J.D. * Active license with The California State Bar * 10 or more years of legal experience, including 2 or more years of in-house experience in high growth public company * Exceptional drafting and communication skills; ability to convey legal advice clearly and effectively with employees at all levels. * Strong business acumen with an ability to balance legal and business requirements. * Willingness to "roll up your sleeves" and get work done without reliance on a team. * Excellent legal and practical judgment with strong problem-solving skills. * Results-oriented, with a high sense of urgency and good time management skills. * Must be flexible and highly organized with the ability to manage multiple projects simultaneously. * Exceptional drafting and communication skills; ability to convey legal advice clearly and effectively with employees at all levels. * Strong business acumen with an ability to balance legal and business requirements. * Willingness to "roll up your sleeves" and get work done without reliance on a team. * Excellent legal and practical judgment with strong problem-solving skills. * Results-oriented, with a high sense of urgency and good time management skills. * Must be flexible and highly organized with the ability to manage multiple projects simultaneously.
