Danforth Advisors is seeking seasoned accounting and financial reporting professionals that specialize in advising clients in the life sciences to join our growing Accounting Reporting Advisory Practice (ARAP).Practice Overview:

Danforth Advisors ARAP provides advisory and implementation services for maturing life science companies whether they are preparing for audit, facing transaction related accounting complexities, or laying the groundwork for an initial public offering (IPO), special-purpose acquisition corp. (SPAC) financing, reverse-merger or sale/purchase of a business.

These services compliment our full range of day-to-day operational finance and accounting capabilities, allowing clients to access specialty skill sets on an as-needed basis for optimal capital efficiency. Given our exclusive focus on the life science sector, we uniquely understand the nature, timing and implications of transformational events in this space and how to plan accordingly on our clients behalf.

Opportunity Overview:

Danforth Advisors ARAP team is comprised of CPAs and Big Four alumni with experience serving private and public life science companies, bringing extensive knowledge and experience managing the financial functions of early to mid-stage life science enterprises. We are motivated by supporting companies that are finding cures and changing lives.

As a member of our consulting team, you will collaborate with talented colleagues to offer clients a wide range of services that are customized to meet the unique goals and requirements of each client engagement. Client and practice responsibilities include:

• Attending to the more technical accounting and reporting matters our consultants and clients are faced with during early and mid-stages of their growth and development;
• Leading/being a significant contributor to various transactional activities, including business combinations, IPO preparations, SPAC and reverse-mergers;
• Directing the day-to-day operational finance and accounting activities of formative life-science companies; and
• Working within the ARAP team to develop the practice internally and externally.

DIRECTOR - Accounting Reporting Advisory Practice

Key Functions:

• Team contributor to transactional activities
• Subject matter expert on technical topics: e.g., equity-based compensation, leases
• Director leadership of operational finance and accounting functions
• Recruiting, training and professional development for ARAP

Skills and responsibilities include:

• AICPA and PCAOB-level audit readiness
• Financial statement preparation for private and for public companies
• Preferred equity and convertible debt financings
• Warrant accounting, derivative financial instruments
• Equity-based compensation
• Cap table development and maintenance; pro-forma
• Lease accounting
• Business combinations, asset acquisitions, in- and out-licensing
• Revenue recognition, collaborations, joint-ventures
• Consolidation, currency, variable interest entities (VIEs)
• Systems implementations: general ledger, purchase-to-pay, cap table management
• Financial and operational diligence
• IFRS/other GAAP conversions
• IPO/SPAC financing/reverse merger accounting and reporting
• S-1 preparation and project management
• Public company readiness, evaluating finance organizations, financial systems and internal controls over financial reporting (ICFR)
• SEC reporting, Forms 10Q, 10K et. al. Sarbanes-Oxley (SOX) compliance
• ARAP practice development: marketing, recruiting, training, professional development

Requirements

• 5-7 years of Public Accounting

• Bachelors Degree in accounting, CPA a must, MBA a plus
• Experience with a Big 4 or other significant CPA firm
• IFRS experience preferred
• Experience in Life Science industry
• Demonstrated ability to work in an early stage start-up environment
• Creative problem-solving skills including the ability to identify, recommend and implement solutions
• Strong interpersonal and client relationship skills
