The Funding and Liquidity section of the Corporate Securities Department in the Freddie Mac Legal Division is seeking an attorney to join its legal team as Counsel. The attorney will primarily support debt securities issuances, liquidity management initiatives and derivative and asset/liability management transactions. Other responsibilities include providing legal advice on legal and regulatory developments, counterparty credit risk and operational issues and strategic initiatives.

Your work falls into the following categories:

Transactional

  • Assist in the drafting and negotiation of disclosure documents for debt securities offerings, repurchase agreements and fixed income securities trading and financing transactions.

  • Review and negotiate derivatives documentation such as ISDA agreements, OTC and cleared derivative agreements and related credit support documentation and hedging agreements.

Regulatory and Policy

  • Assist in the analysis of legal, regulatory and policy developments affecting Freddie Mac debt securities and derivatives, clearinghouses and the broader fixed income and commodities markets. A focus will be on CFTC regulations and ISDA developments.

Business Counseling

  • Leverage a thorough understanding of the legal implications of business trends, operating environment changes and corporate strategies to provide legal guidance on complex risk management and operational issues.

  • Interact directly and collaboratively with business areas across the company, outside counsel, counterparties and other third parties.

  • Coordinate with and provide support within the Corporate Securities Department and other departments within the Legal Division.

Qualifications

  • Juris Doctor (JD) degree; membership in good standing in a state Bar; and 0 to six years of related legal experience.

  • Preference is for candidates that have experience supporting complex transactions in a law firm or corporate law department.

The attorney will primarily provide legal advice to internal clients on a wide range of issues related to Freddie Mac as a business entity, legislative, regulatory and compliance matters affecting the legal and business environment in which Freddie Mac and other financial institutions operate. Your work will fall into two main categories: Providing Legal Analysis and Advice * Interpreting Freddie Mac's statutory powers and advising about requirements under applicable laws and regulations * Preparing and advising on regulatory submissions * Advising on regulatory compliance matters * Advising business areas on the legal implications of business activities * Advising on issues related to oversight and operation of Freddie Mac by FHFA as conservator Developing Regulatory Strategy * Providing analysis and input into strategic decisions related to legislative and regulatory issues * Representing Freddie Mac before regulatory agencies and other parties Qualifications * A Juris Doctor (JD) degree from an accredited U.S. law school and bar membership in any U.S. jurisdiction * 3-7 years of relevant legal experience; experience with regulatory agencies, financial industry trade associations, or financial services entities is desirable * Knowledge of administrative law and legislative and regulatory processes * Superior analytical, strategic, legal research and writing capabilities, as well as excellent verbal/written communications skills * Demonstrated ability to synthesize and analyze information in a very fluid and fast-paced environment * Ability to manage numerous issues across multiple substantive areas and to set priorities independently Keys to Success In This Role * Superior oral and written communications skills * Ability to create and maintain strong collaborative relationships with colleagues and clients * Ability to balance high-volume workload; * Understanding of and ability to address business clients' needs; * Dedication to producing high quality work; and * Ability to self-start and act with limited direction.
