The Counsel assists the General Counsel in identifying risk and providing effective strategy and counsel to the Executive Team and Board. Performs complex and confidential legal research to support and advise internal business partners. Responsible for writing, reviewing, and negotiating a wide variety of agreements with clients, vendors, and business partners.
Assist General Counsel in advising on a variety of legal issues.
Work alongside stakeholders in various internal business units, including Marketing, Sales, Client Services and Information Technology to address legal requests.
Support business lines, including but not limited to, Title and Appraisal Management Company, with licensing oversight and general regulatory legal support
Responsible for identifying areas of risk, reporting to General Counsel, and suggesting mitigation strategies.
Manage various projects and deadlines.
Review, manage and report to General Counsel on contract status, legal risks and business terms of various negotiations.
Provide assistance when needed on complex matters, including litigation, mergers and acquisitions.
Draft and negotiate agreements and contracts.
Ensure legal objectives are met.
Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes.
Review advertising and marketing materials to ensure compliance with legal requirements.
Develop solutions to complex legal questions.
Juris Doctor Degree.
Admitted to or Registered as In-House Counsel with one State Bar (or eligible).
4-7 years' minimum experience working in a corporate legal department or law firm.
4-7 years' minimum experience with contract drafting and negotiation.
Experience in the title and/or appraisal management industries required.

Ability to write reports, business correspondence, and procedural manuals.
Ability to create spreadsheets, graphs and flowchart presentations.
Professional demeanor, including ability to use tact and sound judgment in contact with individuals within and outside of the corporation.
Maintain confidentiality in all aspects of client, staff, and vendor information.
Work is performed in climate controlled indoor administrative office setting. The noise level in the work environment is usually quiet to moderate, depending upon office or meeting location.
While performing the duties of this job, the employee is regularly required to communicate. The employee frequently is required to remain stationary.
The employee is occasionally required to stand; walk; use hands to finger, handle, or feel; reach with hands and arms; stoop, kneel, crouch, or crawl.
