Position Summary

This position is for an attorney in Visa's Legal group covering Cybersource and Authorize.Net. The job is based in Foster City, Ca. The job reports to the Vice President and Associate General Counsel who covers this area.

Job Scope:

  • Providing day to day legal support to account executives, product teams, and other internal clients

  • Drafting, reviewing, and negotiating of a range of agreements with external Visa clients

  • Reviewing presentations and other materials

  • Keeping abreast of changes in the law and periodically training internal team and clients

  • Coordinating with other functions at Visa

  • Working to improve internal processes

  • Juris Doctorate degree with strong academic record from an accredited law school

  • 8+ years of legal experience covering drafting and negotiating commercial and licensing agreements for technology platforms, including experience as lead associate

  • Prior in-house experience preferred but not required

  • Experience working with Sales teams and advising Product teams

  • Experience in IP, IT, data protection, contract and commercial law preferred

  • Knowledge payment service industry, background in technology or computer science preferred

  • Exceptional analytical ability and advocacy skills

  • Excellent written, oral communication and negotiation skills

  • Demonstrated ability to drive execution in a team environment, integrating legal advice and business knowledge while providing balanced advice regarding risks and benefits

  • Strong people skills with proven ability to build strong working relationships with internal clients at all levels of management and work on cross-functional teams on complex deals

  • Practical and proactive problem-solver; confident, mature, calm under fire, with a positive attitude

  • Strong work ethic for a fast-paced environment

  • Admitted to CA bar in good standing or eligible for Registered in house counsel in CA.

Job Description The Corporate Legal Group at Gilead is seeking an individual with 0-4 years of attorney experience to join as an Associate Counsel and assist with the review, negotiation and management of agreements in support of Gilead's commercial operations and marketing teams. Responsibilities will include (i) being the primary point of contact on legal contract issues for Gilead's commercial operations and marketing department, (ii) drafting, negotiating and managing agreements in support of commercial operations and procurement; (iii) developing and implementing policies, procedures and standard terms for commercial agreements; (iv) training and mentoring contracts specialists, and (v) assisting with contracts from other parts of the Gilead organization. The person in this position will, among other things: * Review, draft and negotiate a wide range of contracts, including advertising agreements, data and content licenses, media buying agreements, SaaS agreements, data hosting and management agreements, software licenses and maintenance/support agreements, web site hosting agreements, professional services agreements, application (including mobile application) development agreements and consulting agreements. * Manage processes and workflows governing the intake, review, and approval of contract requests in support of commercial operations and procurement. * Assist with the development of policies and procedures and standard template language to be used in contracts. * Lead or co-lead cross-functional process improvement initiatives, train client groups on contracting matters. * Advise Gilead's internal clients on contract interpretation, dispute resolution, IP ownership and other legal risks. * Train and work closely with contract specialists on the preparation, negotiation and execution of form-based documents. * Assist on other company contracts. Essential Duties and Job Functions: * Willingness and ability to work with and coordinate activities across a large number of individuals across various departments in a rapidly expanding company, not only within the company's headquarters in Foster City, but also throughout the company's domestic and international subsidiaries in Europe, Latin America and Asia. * Appropriately triage a heavy workflow, setting appropriate priorities with clients and delivering results within agreed to timelines. * Demonstrate ability to think creatively and devise solutions to challenging problems. * Exercise mature and reliable judgment while enjoying the company's enthusiastic, informal and fast-paced environment. * Ability to mentor contract specialists in the Corporate Legal department. Knowledge, Experience and Skills: * Juris Doctorate from a nationally recognized law school. * Admitted to practice (preferably in California). * 0-4 years relevant transactional experience in a law firm and/or in-house legal department, including experience with technology transactions, is desired, but not required. * Experience negotiating and drafting advertising and marketing agreements, including advertising agency agreements and terms and conditions for a wide range of media, including internet, mobile, television and print, is desired, but not required. * Experience advising commercial and marketing teams on contract issues pertaining to advertiser-agency relationships, television and internet advertising, and the use of social media platforms and new technologies, including digital and mobile media initiatives, preferably in the pharmaceutical field, is desired, but not required. * Experience working with procurement or sourcing departments is desired, but not required. * Knowledge of consumer protection regulations, including the Telephone Consumer Protection Act, CAN-SPAM Act, and FTC enforcements is desired, but not required. * Experience with consumer product marketing, preferably in the pharmaceutical industry, is desired, but not required. * Understanding of privacy and information use, security and protection laws and regulations is desired, but not required. * Understanding of intellectual property, including trademarks and copyrights. * Thorough understanding of basic contract principles and formation. * Ability to manage and serve a wide range of client groups within the company by recognizing and responding quickly and pragmatically to urgent situations and demanding clients. * Exceptional and demonstrated written and verbal communication skills.
