The Dow Chemical Company has an opening for Counsel- Employment Law located in Midland, MI. This role, with oversight from leadership, will provide legal advice to members of the company's Human Resources function on legal issues associated with managing employees and will review company policies and programs for legal risk and recommend updates and revisions.

Core Responsibilities:

  • With oversight from leadership, provide legal advice to members of the company's Human Resources function on legal issues associated with managing employees.

  • Review company policies and programs for legal risk and recommend updates and revisions.

  • Review compensation programs annually and other programs as needed (e.g., leave policies, severance plans, diversity programs) for compliance and legal risk.

  • Lead Employee Review Meetings to review proposed employee terminations, advise leaders and HR on legal risk of terminations and other job actions.

  • Advise HR processionals and leaders on legal issues arising from employee medical conditions that impact ability to work. Assess legal risks and recommend approaches to manage employee medical leave and accommodation requests.

  • Advise HR team on legal issues associate with unionized environments. Review and interpret collective bargaining agreements and advise on potential labor law issues.

  • Act as legal counsel on employee investigations.

  • Prepare and provide proactive training to HR employees on legal topics.

Required Qualifications:

  • A minimum of 3 years of legal experience in labor and employment law with a corporate legal department or nationally recognized law firm

  • Law Degree appropriate to the jurisdiction served (JD/LLM in the U.S., requirements vary outside the U.S.)

  • Licensed to practice law in the appropriate jurisdiction

  • A minimum requirement for this U.S. based position is the ability to work legally in the United States. No visa sponsorship/support is available for this position, including for any type of U.S. permanent residency (green card) process.

The Tax Counsel is responsible for tax planning, Mergers & Acquisitions (M&A) tax consultation and tax audit activities. In addition, this role is responsible for developing strategic insights and recommendations to maximize shareholder value, ensuring the integrity of global financial reporting. Responsibilities: * Review ongoing and new business activities (including M&A) and provide advice on the tax consequences, risks and opportunities * Work closely with Transfer Pricing to address global transfer pricing policy issues and audits * Repatriation planning to bring cash to the U.S. in a tax effective manner * Provide tax planning advice and assist with tax modeling for M&A and other material transactions, including integration planning and execution * Ensure tax implications of M&A and other material transactions are reflected into tax provision and U.S. tax returns * Partner with the international tax team to drive effective foreign country tax planning * Research and draft memoranda documenting positions taken, preparation of FIN 48 analyses and presentations for any tax authority negotiations * Stay informed of major U.S. tax developments Required Qualifications: * Juris Doctor degree required * Minimum of 3 years of experience at a law firm, Big 4 accounting firm or Fortune 500 company working in U.S. international corporate tax law * Must have strong analytical skills with proven ability to solve multidimensional problems creatively * Strong written, verbal and interpersonal skills and the ability to collaborate with business and functional leaders across the company * Highest standards of integrity, business controls, and business practices. * A minimum requirement for this U.S. based position is the ability to work legally in the United States.
