Position Description
The Counsel
Corporate and Transactions provides legal advice and support on a wide range of corporate, financial, transactional, and corporate governance matters. The role is highly cross-functional and cross-collaborative, working with multiple stakeholders. Corporate and Securities.
Position Accountabilities
Draft, review, negotiate, and identify risk issues in a wide range of agreements including, for example, term sheets, non-disclosure and confidentiality agreements, licensing agreements, purchase and sale agreements, investment agreements, amendments, waivers, notices, and commercial contracts. Manage transactions to a successful close, including coordinating and conducting due diligence.
Research and provide legal advice on corporate law and corporate governance matters. Monitor developments and best practices in corporate law and corporate governance matters and develop and implement policies, processes, and strategies for compliance with the same. Prepare board agendas, materials, resolutions, minutes, and other materials for meetings of the board of directors and its committees. Draft revisions and updates to governing documents and corporate policies. Partner with staff members on formation and dissolution of legal entities, maintenance of corporate records, and subsidiary management.
Support the Associate General Counsel
Engage and oversee the quality and cost effectiveness of legal counsel hired to represent the Company.
Develop sound legal assessments, interpretations, recommendations and opinions regarding the Company's legal rights and obligations.
Provide practical, actionable legal advice and support to executive and senior management and other stakeholders on a wide range of corporate, transactional, and corporate governance matters.
Lead discussions on complex topics with a wide range of internal and external stakeholders.
Establish and maintain effective professional relationships with internal clients, colleagues, and stakeholders.
Conduct sophisticated legal research using various sources and methods.
Perform a wide variety of tasks as assigned to help the Company protect its business, commercial, and reputational interests. The Position Accountabilities listed are not an exhaustive list of the duties of this role.
Experience in the financial services industry is appreciated but not required.
Final title will be assigned depending on the experience and structured responsibilities of the successful candidate.

Position Qualifications
Education & Experience
Minimum of 5 years of experience as a practicing attorney with mix of relevant experience.
Licensed attorney admitted to practice in Virginia, or able to satisfy reciprocity or corporate counsel requirements for admission into Virginia.
Completion of course of study at an accredited law school with degree (J.D.)
Completion of four years of college undergraduate study with degree

Able to make sound legal judgments and proactively find solutions independently without oversight
Excellent writing and communication skills
Demonstrated ability to work independently and handle multiple projects in a fast-paced environment
Excellent interpersonal skills and the ability to interact effectively with a wide range of stakeholders
Business orientation and ability to provide practical solutions
Strong ability to identify risks and propose alternative structures to mitigate those risks
Ability to work collaboratively and contribute to team goals
Excellent attention to detail and ability to remain organized
Highest degree of adherence to ethical standards in the legal profession
Salary offered will be based on several factors including but not limited to education, work experience, certifications, etc. This position is also eligible to participate in either an applicable incentive compensation plan for the position or a discretionary profit sharing bonus program.
