Ellation is searching for a self-motivated, business-minded attorney for a role as Counsel, Business & Legal Affairs in its Legal Department. The position handles all manner of business and legal affairs for Ellation, including both Crunchyroll and VRV SVOD platforms, and will partner with our business teams across all offices. This position reports to the General Counsel of Ellation.

A day in the life of Business & Legal Affairs:

  • Structure, draft and negotiate a wide variety of agreements, including those relating to: content licensing/acquisition (both inbound and outbound) and content distribution; Marketing and advertising, events, sweepstakes, and merchandising; Ad tech and product (SaaS and software tools for our product, engineering and IT teams)

  • Liaise and maintain relationships with key licensing partners

  • Partner closely with business leads and assume significant authority and accountability for outcomes

  • Handle compliance for content and intellectual property matters

  • Provide practical advice and solutions to internal business partners on all related legal matters

  • Create and maintain form templates (e.g. licensing agreements, distribution agreements, marketing agreements/IOs, sweepstakes in the US and globally) to ensure all legal documents remain consistent

  • Thrive in a fast-speed, high-pressure environment including working in new and developing areas of the law, tempered by an appreciation of the associated complexity and risk

  • Willing to perform other matters both in and outside of area of expertise

About You

  • At least 3-6 years of related entertainment and transactional experience, including direct and substantial experience drafting and negotiating agreements

  • Practical knowledge of the digital, TV and film industries preferred

  • Experience working in-house or at a top tier law firm providing in-house support for an entertainment, film, television or production company preferred

  • Juris Doctor and membership in good standing in at least one state bar is required.

  • Excellent drafting skills with creativity to craft new language based on novel provisions negotiated in each particular deal

  • Excellent organizational skills with strict attention to detail

  • Ability to manage and prioritize multiple projects at once, follow through and meet deadlines

  • Strong written and oral communication skills

  • Strong analytical and computer skills

  • A go-getter who thrives in a non-structured, high-volume, fast-paced environment and is not afraid to take initiative

WHAT YOU'LL DO * Partner with the Engineering, Product, Design, Security, and Corporate teams to assess potential privacy and security risks and regulatory requirements related to Adobe's use of vendors, marketing and sales activities, and employee matters * Collaborate with Adobe's Security Coordination Center, legal team, outside counsel, and regulators related to privacy and security incident response * Provide strategic advice to address privacy and security risks while supporting product innovation. * Conduct privacy assessments of business initiatives, manage privacy compliance documentation and support compliance certifications. * Assist in developing and maintaining privacy policies and procedures as well as fact sheets and other communications materials. * Assist in developing training materials and providing training to employees on privacy-related obligations. * Assist corporate, product, and marketing teams with developing marketing strategies and collateral to tell our privacy story. * Review/draft a variety of agreements related to data, privacy and security, including vendor and customer agreements. * Help develop best practices related to Adobe customer experience, including addressing customer questions about Adobe's privacy policies and practices. * Be a privacy evangelist inside Adobe to help grow our culture of privacy (e.g., conduct trainings, represent the privacy team in product strategy and design sessions).
