  • We're looking for a talented Corporate Paralegal with strong executive, administrative and legal skills to support our Chief Corporate Strategy & Legal Officer along with a legal team of 2 attorneys. This position can be located in our San Francisco headquarters or our Atlanta office.


  • Manage maintenance of corporate entities, including maintenance of minute books, shareholder communications,

  • Obtain and maintain all necessary city and state business registrations and licenses

  • Provide support for various legal and regulatory compliance initiatives

  • Handle the day-to-day duties of the equity program, including processing stock option exercises, share transfers, and issuing new employee grants.

  • Collaborate with cross functional teams including Finance, Accounting, Stock Administration, People & Culture, and Compliance to develop and maintain business and policy projects, including

  • Work with the finance team and outside counsel to manage the cap table

  • Work with the HR team on documenting key corporate policies such as business code of conduct

  • Organize and maintain documents in a paper or electronic filing systems

  • Schedule and maintain a calendar of meetings for key people on the team

  • Support administrative needs of Chief Corporate Strategy and Legal Officer


  • 3 years experience as in-house corporate paralegal or in law firm, with specific experience in corporate governance, maintenance of books and records, option administration systems, policy implementations and supporting complex transactions

  • Experience supporting international business operations

  • Strong experience with G-Suite/Slides

  • Strong Microsoft Excel skills a plus

  • Ability to operate independently in a fast-paced environment, and to prioritize a dynamic workload

  • Extremely organized, resourceful, and detail oriented

  • Strong oral and written communication skills

  • Energized in an environment of rapid change and a willingness to be part of an "all hands on deck" team of doing what needs to get done to move the business forward

  • Start-up work experience a plus

What You'll Do: * Work closely with multiple attorneys in the Legal Department to provide support for a wide array of Legal functions and corporate transactions * Organize and maintain records for general corporate matters * Run the Legal department's billing system * Assist with due diligence activities and document organization for equity and debt offerings and business development transactions, and assist with collection of relevant information and documents relating to such matters * Interact professionally and communicate effectively with internal stakeholders and all professional contacts, including outside counsel and third party vendors, with an emphasis on supporting company objectives * Administration and business ownership of contract database, including organization and supervision of all Company contracts and other significant documents and ongoing tool enhancements to support efficiency in contract administration * Assist with various aspects of corporate governance, including assisting in the preparation of documents, filings and registrations required to form and maintain new corporate entities and to comply with law, and implement corporate governance best practices * Review standard company documents such as Non-Disclosure Agreements and Vendor Agreements with attorney oversight * Help the Legal team scale by designing and implementing process improvements, and to help drive our growth and capture new learnings * Assist with litigation, including securities matters, as well as government inquiries and investigations, and responding to subpoenas * Perform other administrative duties as assigned What We're Looking For: * Bachelor's Degree * 10+ years of relevant experience or any similar combination of education and experience * Significant experience as an in-house paralegal and beneficial to have had significant law firm paralegal experience as well * Must have experience working in fast-paced legal environment with proven ability to prioritize and multi-task * Experience supporting various stages of corporate transactions * Proficiency with Microsoft Office products, including Word and Excel * General corporate experience, including experience with entity maintenance and an understanding of corporate governance best practices * Have or willingness to obtain a notary license * Effective and efficient time management skills * Detail oriented, organized and thorough * Ability to effectively communicate and interact with a diverse group of individuals including various levels of management * Proven record of providing excellent internal and external customer service * Excellent interpersonal skills with high initiative, flexibility, and team approach to work; proactive and positive attitude * Strong eye for detail, descriptions and process. * Effective communicator, oral & written We also have great benefits to make your life easier so you can focus on what you're best at: * Competitive salary * Generous stock option plan * Medical, dental and vision insurance * Unlimited vacation * Annual free credits and discounts to stay in Sonders * A company with a huge vision, a dynamic work environment, and a team of smart, ambitious and fun to work-with colleagues!
