Job Description

We are seeking an outstanding corporate paralegal with at least 4 years' relevant corporate experience to join our legal team in Pleasanton, CA. As a corporate paralegal, you'll provide support for our expanding corporate practice, including:

  • A focus on corporate governance activities for U.S. and international subsidiaries, including entity management, support for board and committee meetings and actions, and tending to ongoing compliance matters, as well as subsidiary formations and dissolutions

  • Working closely with Finance, Treasury, Payroll, and other Workday teams to provide corporate data for KYC, RFPs, and other third-party requests

  • Preparing SEC filings, including Form 3s, 4s, 5s, 8-Ks, and the proxy statement

  • Stock matters, including Section 16 compliance, managing the restricted trading group, and reviewing and managing 10b5-1 plans

  • Supporting Mergers and acquisitions activity and Workday Ventures

  • Drafting corporate documents, supporting the Workday board of directors and its committees, and other general corporate work

  • Managing the Corporate team's access to various software and subscriptions, and maintaining relationships with third-party vendors

  • Creating and maintaining scalable processes, internal team sites, FAQs and self-service tools to accommodate company growth

Desired Skills & Experience:

  • Minimum of 4 years of experience as a corporate paralegal

  • In-house public company experience preferred

  • Experience in securities laws compliance, disclosure, and filings

  • Experience managing international subsidiaries

  • Experience in corporate records management

  • Experience in mergers and acquisitions a plus

  • Proficient in Excel, Word, PowerPoint, Google Docs, Workiva, Diligent, and Blueprint a plus

  • Bachelors' degree with strong academic record

  • Paralegal certificate preferred

The Corporate 3rd Party Billing Specialist is responsible for the accurate, timely filing, collection, and management of skilled nursing third party billing claims for assigned communities. Work Duties: * Third Party Claims Submission * Medicare A & B * Managed Care * Third Party Coinsurance * Maintain documentation to support third party claims submission and collections in accordance with defined policies. * Prepare documentation/collection notes for monthly accounts receivable reviews. * Identify, document, and communicate best practices and process improvement opportunities to manager. * Prepare documentation for approval of contractual allowance adjustments and bad debt write offs * Attend (in person or via conference call) and participate in monthly Medicare Triple Check meetings validating all required information for claims billing and additional meetings as required * Maintain up-to-date technical knowledge of Medicare billing rules and regulations via the CMS website, MAC website, newsletters, etc. * Maintain ongoing metrics for manager, to provide continual self-assessment of performance and identification of process improvement opportunities. * Provide back-up and cross-training to other associates in the revenue cycle team. * Coordinate with Revenue Cycle Manager to develop, document and implement processes and procedures related to third party billing. * Provide additional assistance and support as needed in the revenue cycle function. Bachelor's Degree in Accounting or Business or equivalent experience. Minimum of 5 years of 3rd party billing experience handling complex billing issues and strong knowledge of applicable industry regulations.
