Why join us? Excellent benefits Competitive Salary Hybrid Schedule Job Details Job Details: Our fast-paced, high-profile law firm is seeking an experienced Permanent Senior Corporate Paralegal to join our dynamic team.
This role is ideal for a detail-oriented, highly organized professional who thrives in a challenging and rewarding environment. The successful candidate will assist with a wide variety of corporate law matters, including corporate governance, licensing, UCC, SEC, stock offerings, and entity formation. Responsibilities: 1.
Assist attorneys with the preparation and filing of SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements. 2. Conduct legal research and prepare legal documents related to corporate law, including contracts, resolutions, and legal memoranda. 3. Manage all aspects of corporate governance, including preparing board and committee materials, maintaining corporate records, and ensuring compliance with corporate governance principles and policies. 4.
Assist with the planning and execution of stock offerings, including preparing offering documents, coordinating with external counsel, and managing closing logistics. 5. Manage the process of entity formation, including preparing formation documents, obtaining EINs, and filing necessary paperwork with appropriate state agencies. 6. Coordinate with business teams to ensure compliance with licensing requirements and UCC filings. 7.
Provide support for other corporate transactions, including mergers and acquisitions, joint ventures, and divestitures. Qualifications: 1.
A minimum of 3 years of experience as a corporate paralegal, preferably within a law firm or corporate legal department. 2.
Proficient knowledge of corporate law, including corporate governance, licensing, UCC, SEC, stock offerings, and entity formation. 3. Exceptional attention to detail and the ability to manage multiple tasks in a fast-paced environment. 4. Strong research, analytical, and problem-solving skills. 5.
Excellent written and verbal communication skills. 6. Proficient in Microsoft Office Suite (Word, Excel, PowerPoint) and legal research platforms. 7. A paralegal certificate from an ABA-approved program is preferred. 8.
Familiarity with legal technology, including document management systems and e-discovery platforms, is a plus. 9. Ability to work independently, but also collaboratively as part of a team. 10. Strong ethical standards and a high level of confidentiality.
