ABOUT THE ROLE:
The Corporate Paralegal will support the General Counsel and attorneys on the Legal Team as well as assist the Corporate Securities Paralegal with day-to-day operations of the Legal Team as needed.
Primary duties include assisting with litigation management, employment law related matters, and contract lifecycle and IP portfolio management. Ancillary duties include general corporate housekeeping matters such as helping manage Legal Tracker electronic billing; preparation for Board meetings; entity formation; entity dissolution; document management and special projects as assigned by the General Counsel and attorneys.
ESSENTIAL DUTIES & RESPONSIBILITIES

Litigation:
Respond to all subpoenas received by the company
Manage the intake of all service of process
Issue legal hold and release notices and interact with opposing and outside legal counsel
Assist with discovery
Update the matter management system
Process payment requests
Prepare internal reports
Employment Law:
Assist with internal investigations into employment law related claims
Assist with preparing and filing EEOC Position Statements
Contracts:
Provide contract administration support, including handling document revisions and circulating/tracking documents amongst parties from drafts to full agreement execution
Be the primary point of contact for internal stakeholders to answer routine questions regarding contracts and processes
Serve as the CMS system administrator
Lead the intake and set-up of new agreements, including amendments and renewals
Independently manage and complete projects (e.g. create new agreement types in the systems, update agreement templates/records, etc.)
Assist with light drafting under supervision, creating forms, obtaining necessary internal approvals
IP Portfolio:
Coordinate with stakeholders and outside counsel regarding patent and trademark application preparation, filing and prosecution matters
Prepare drafts of patent and trademark applications, filing, formalities, and office action response documents
Monitor, maintain and clear dockets by coordinating with attorneys and staff to make sure all docket dates are satisfied
Support transfer of IP assets, including gathering and recording necessary assignment documents and importing relevant data and documents
General Corporate:
Assisting with the management outside counsel spend (e.g., using software such as Legal Tracker)
Assisting with the preparation for Board meetings
Manage and assist with additional projects as assigned by the General Counsel and attorneys on the Legal Team
MINIMUM QUALIFICATIONS
Corporate paralegal certificate
5+ years of experience as a paralegal in a law firm, corporate in-house legal department, or governmental legal setting
Ability to work independently to resolve problems and confer with attorneys on final solutions or next-step processes
Ability to work remotely when needed and without supervision
Cooperative, positive, team-oriented attitude
Ability to communicate effectively
Excellent administrative and organization skills
Experience with Legal Tracker or equivalent software preferred
Experience with Contract Management software preferred
Proficiency in MS Word, MS Excel, MS PowerPoint, Adobe and legal software programs.
