Make an impact
As the corporate paralegal, you will support a variety of matters across the department, working with attorneys and other staff in the execution of fund, real estate, and corporate transactional matters, as well as assist in corporate governance and recordkeeping initiatives. With attorney oversight as needed, you will also apply knowledge of corporate governance principles to aid in the company's compliance with laws governing the conduct of business across state and federal lines. You will be capable of providing input on best practices and feel comfortable working across departments to resolve cross-functional workflow issues.
Provide transactional support on fund and corporate-level transactions and financings, including coordination between outside counsel, lender's counsel, and Bridge infrastructure teams
Work with in-house attorneys, as well as the compliance and capital markets departments in the preparation of offering documents, marketing materials, and investor documentation
Support recordkeeping initiatives by working with subject matter experts on organizing existing file folder structures
Assist with the audit, review, and updating of the company's entity maintenance database
Assist with corporate governance matters such as entity formation, drafting of constituent documents, consents, and officer certificates
Provide support and conduct research on state, federal, and international requirements related to business and securities filings
Work with other paralegals to support the review and screening of vendor contracts and NDAs, in addition to fulfilling due diligence and production requests from internal and external parties
Conduct general and legal research under the direction of attorney supervisors
Coordinate contract and document signatures using the Company's preferred electronic signature software
What you should bring
Knowledge of corporate governance principles
Capability of taking ownership over area of responsibility and striving for continuous improvement
Enthusiasm for deploying organizational and recordkeeping best practices
Strong Microsoft Office application skills (Word, Excel, etc.)
Strong interpersonal and client relations skills
Ability to learn quickly and relate processes to the big picture
A self-starter, detail-oriented, and strong verbal/written communication skills
Ability to juggle multiple assignments in a fast-paced, team-oriented environment
Experience working with multiple attorneys and/or senior managers, as well as a department and team, is a plus
Experience working as a corporate paralegal is a plus but not required
Two or more years' experience in the legal field, or commensurate experience working in a corporate or law firm setting*
