Job Title: Corporate Paralegal
The Paralegal will provide administrative legal support to the General Counsel's office, with a primary focus on supporting the executive, legal, and sales functions of Transportation Insight. The Paralegal will work with multiple office locations and will interact primarily with internal support staff and occasionally with external clients. Duties will include, but not be limited to, the review of business-related contracts, the review and preparation of non-disclosure agreements, the review and preparation of client contracts, management of the client contract execution process, management and organization of corporate records, and the review and support of such other legal and business matters that may require the attention of the General Counsel's office.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Draft, review and revise various contracts: Client Agreements, Non-Disclosure Agreements, Vendor Agreements, Sales and Purchase Agreements, while working under supervision of an attorney;
Achieve alignment of business deals and legal documentation by analyzing highly complex business deals, and prepare and negotiate customized contracts with appropriate attorney guidance;
Close interaction with the Account Executives, Sales Executives, Senior Management, client business and legal personnel in order to understand, negotiate and incorporate final contracting parameters;
Assist in the development and maintenance of standard contracts, including the development and implementation of processes, systems and required tools to ensure that contracts are prepared accurately, efficiently and timely. Serve as a point of contact for all legal contract database training, inquiries, management, testing and upgrades;
Support special projects with the ability to work in an ever-changing environment;
Support in the management and coordination of complex legal, compliance and administrative activities;
Responsible for duties such as cross-training on company contract procedures and policies, maintenance of contract templates, etc.;
Work directly with corporate legal counsel on financial transactions, due diligence and corporate reporting;
Manage company database of contracts;
Assist in responding to litigation-related matters;
Assist with oversight and implementation of corporate policies; and
Provide paralegal support during audits and examinations.
Provide secondary administrative support to the Sales and Solutions Team
Provide secondary administrative support to the Executive Team
The Paralegal should possess the following:
Certificate of completion from an ABA-approved paralegal certification program of education and training, or an associate degree in paralegal studies;
Prior paralegal or related experience is strongly preferred;
Ability to effectively work cross-functionally across all levels in the organization including with upper management;
Proficiency in acting as liaison with employees;
Must be able to work in a high-paced environment handling multiple tasks at the same time; and must maintain confidentiality of projects, legal and business information at all times.

Proficient with Microsoft Office, specifically Outlook, Word, and Excel;
Strong oral and written communication skills;

Timeliness and ability to meet deadlines.
