Responsible for initiating and producing complex work at a high level of competence in one or more areas of law in support of attorneys on the Legal Services Team, with a keen focus on corporate governance documents (e.g. Article of Incorporation, Bylaws, Operating Agreements, Committee Charters, etc.).
Responsible for assuring linkage between corporate governance documents and corporate organization chart and accompanying narrative.
Responsible for tracking the membership of boards, the identification and appointment of board officers, membership of committees and for maintaining accurate descriptions of such individuals.
Coordination with the Office of the President to ensure compliance/ tracking/management of terms of service for board and committee members.
Responsible for maintaining current governance documents for all Carle Health legal entities.
Responsible for responding to and verifying corporate governance and corporate structure information for necessary legal and regulatory filings.
Responsible for the initial OIG/CSA screening of board members in coordination with Human Resources and monthly screening as required by the organizations' Compliance programs.
Responsible for the organizations' annual Conflict of Interest process for board and committee members including any follow up reporting/action.
Responsible for annual IRS Form 990 responses in coordination with Finance.
Responsible for creating resolutions, in coordination with an assigned member of the Legal Services Team and appropriate business owner, for corporate board, regional board and committee meetings.
Responsible for creating corporate board meeting materials and coordinating the creation of board meeting materials at the regional board level and board committee level.
Responsible for maintaining the meeting calendar for the corporate board and coordinating the meeting calendar at the regional board level.
Assuring cadence described in applicable Bylaws/Operating Agreement is followed.
Responsible for coordinating board and committee meeting agendas/materials within the board portal in coordination with the responsible Executive Assistant.
Responsible for advising the appropriate Executive Assistant on the creation, maintenance and distribution of board and committee minutes (both within and outside of the organizations).
The position can work remotely a majority of the time but the Specialist needs to be available for necessary in-person meetings at Carle's main and regional locations throughout central Illinois.

The Corporate Governance Specialist works with organization leaders to assure that all routine aspects of governance, compliance with guiding documents and regulatory and legal requirements are achieved. The Corporate Governance Specialist works closely with members of the Legal Services Team to ensure success.
