The Corporate Development and Legal Specialist position supports and reports to the Chief Legal and Corporate Development Officer in the areas of mergers and acquisitions, contract administration, and Board governance.

Responsibilities

Essential Duties and Responsibilities

Mergers and Acquisitions

  • Play a key role on M&A team managing sourcing, scheduling, and pipeline, drafting closing documents and resolutions, and analyzing due diligence

  • Support legal integration activities post acquisition

Contract Administration

  • With attorney supervision, review, evaluate, and propose modifications to NDAs, SOWs, inbound software licenses, IOs, amendments, MSAs, and sales and vendor agreements

  • Coordinate and oversee the contract pipeline and workflow as well as drive the contract signature process

  • Organize Legal Department files and administer the contracts management system and identify ways to improve the contract management process

  • Maintain standard agreement templates and contracting policies

  • Track contractual compliance, create and maintain standard contract templates, and support related cross-functional operations and sales projects

Board Governance

  • Prepare board books for corporate governance compliance

  • Assist with drafting Board of Directors and Board Committee minutes, maintain Board document repository and complete other Board projects

  • Support analysis of ISS governance score and related initiatives

  • Manage stock award drafting, dissemination, and retention, working closely with the Controller

Other

  • Coordinate and maintain applicable business license and state registrations

  • Identify and support corporate compliance initiatives

  • Additional duties as required

Qualifications

Required Knowledge, Skills, and Abilities

  • Detail oriented with the ability to produce high quality work in a fast-paced environment

  • Able to anticipate and be proactive

  • Able to work independently and leverage strong management, communication, technology, and organizational skills to drive completion of multiple projects

  • Strong problem solving skills

  • Able to develop creative solutions

  • Effective cross-functional collaboration skills

  • Strong team player, willing to jump in whenever needed

  • Certification through a relevant accredited organization is preferred but not required (e.g., the National Federation of Paralegal Associates, the National Association of Legal Assistants, or the Association for Legal Professionals)

  • Must have a strong working knowledge of the Microsoft Office Suite (e.g., Word, Excel, PowerPoint) and Adobe

  • Experience and proficiency with Salesforce

  • Ability to learn and become proficient with new productivity enhancing software as needed

Education and Experience

  • Bachelor's degree from four-year college or university in Business Administration, entrepreneurship, or law/prelaw, or three to four years of related experience, or the equivalent combination of education and experience

  • Minimum three years of experience in a law firm, in-house legal department, or analogous business position in a corporate setting, for candidates without a J.D.; one to two years for candidates with a J.D.

  • Minimum of one year of experience reviewing, assessing, and revising commercial contracts (preferably with Fortune 500 companies) and related government contracts

  • Knowledge of and experience with the M&A process, including due diligence, and publicly traded board governance obligations and best practices preferred
