Seeking a strategic, experienced life sciences transactional attorney with a passion for and expertise in structuring, drafting and negotiating complex licensing, research, clinical and commercial manufacturing and supply, M&A, and other strategic corporate transactions.
To be successful in this role, you must have the ability to anticipate and assess legal and business risks associated with complex global transactions, and also possess a strong aptitude for learning new science and technologies. You should be able to clearly and concisely communicate well-reasoned recommendations to internal stakeholders, including senior executives. In addition, you should be comfortable with calibrating and advising on acceptable levels of risk commensurate with broader business objectives. Finally, you will be expected to develop and recommend innovative solutions to complex legal and business issues.
You must be able to work closely and independently with stakeholders in business development, research, development, technical operations, regulatory, finance, tax and commercial teams. You should feel comfortable managing competing objectives and demands from a variety of stakeholders in a high-paced, mission-driven environment. Finally, you should possess strong negotiation, communication and interpersonal skills.
Primary Responsibilities include:
Structuring, drafting and negotiating life sciences intellectual property licenses, research collaborations, clincial and commercial manufacturing and supply agreements, and other strategic transactions, including those involving a particular target, drug candidate, technology platform or other drug discovery modality.
Partnering with cross-functional representatives of various departments on transactions.
Advising on complex business and legal issues in support of transactions with both corporate and academic third parties, including mergers and acquisitions; working closely with business development and alliance management to support the business objectives of agreements, interpret and enforce contract provisions, and negotiate and support termination and wind-down of agreements.
Working with outside counsel in complex transactional matters.
Contributing to cross-functional or departmental projects and teams.
Education and Skills Requirements:
5+ years in a law firm, company and/or research institution directly supporting complex strategic transactions (e.g., licensing, research, manufacturing, supply, M&A) in the pharmaceutical, biotechnology or related life science industry.
JD with Bar admission.
Life sciences undergraduate/graduate degree preferred.
