What Will You Own?

  • Researching issues of importance to the company's business and strategy.

  • Drafting and negotiating technology licensing and commercial contracts.

  • Working closely with members of the legal department and in partnership with the company's sales, product, marketing, and business teams on a broad variety of projects and business transactions.

  • Various other daily legal matters of importance to our business as needed.

What Do You Need for Success?

  • Strong negotiation skills, business acumen, and a passion for entrepreneurship, technology, and innovation.

  • Ability to balance multiple, time-sensitive tasks and priorities in a fast paced environment.

  • Self-starter with an aptitude for learning and creative problem solving.

  • J.D. from a national recognized law school with current membership in a U.S. jurisdiction.

  • Relevant experience with SaaS, software sales transactions, or contract law and contract drafting is a plus.

  • Excellent verbal and written communication skills.

  • Strong interpersonal skills and business acumen.

Job Description Standard Industries is a global industrial company with interests in building materials, including the world's largest roofing and waterproofing manufacturer, as well as aggregates, and related investment businesses. Working closely with in-house corporate attorneys in the global Legal Department at Standard Industries, the Corporate Counsel assists in all stages of corporate transactions and with the preparation of documents. The individual in this position reports directly to the VP, Chief M&A Counsel. The Position Working under the direction of the Vice President, Chief M&A Counsel, the Corporate Counsel is responsible for providing business-minded legal counsel, with specific responsibility for identifying and analyzing legal issues with respect to corporate development transactions, negotiating and drafting contracts and other business documents, counseling and presenting clear recommendations, and ensuring compliance with applicable laws and regulations. Responsibilities include the following: * Supporting M&A, business development and corporate finance activities. * Reviewing, negotiating and drafting commercial contracts including: supply agreements, services agreements, and NDAs. * Providing advice on the interpretation of contracts, laws and regulations. * Coordinating with other legal experts in specialized areas as necessary such as intellectual property, real estate, litigation and tax. Requirements * A minimum of 3 years' experience with a top law firm. * J.D. with outstanding academic credentials, including strong law school performance. * Member in good standing of the New York or another state bar. * Experience handling complex commercial transactions. * Fluency with the standard practices, concepts and procedures of contracts and general business and corporate law. * Plain speaking, common sense approach to rendering advice and working with others to meet goals and objectives. Skills and Competencies * Proven self-starter, results-oriented, high-energy team player. * Ability to assume ownership and work independently with minimal supervision. * Ability to clearly and accurately identify legal issues, place them in business context and provide actionable legal counsel to business leaders. * Ability to think strategically and tactically. * Demonstrated ability to handle high-pressure situations, including meeting deadlines. * Excellent negotiation and influencing skills, and the maturity to take direction from others as necessary. * Ability to maintain rapport with peers, subordinates and consultants. * Ability to organize and prioritize tasks, as well as adaptable to changing situations.
