POSITION SUMMARY:

Indivior is looking for an experienced, talented, agile attorney to join its growing legal team. The qualified candidate will work closely and cross-functionally with a broad spectrum of internal business and legal teams to support a values-driven specialty pharmaceutical company. In this multi-faceted role, the Corporate Counsel will be focused on supporting two aspects of the company's legal risks and issues. First, this individual will help manage the company's licensing, acquisitions, divestitures, mergers, equity investments, and other strategic transactions globally from inception through integration. Partnering with the business development, operations and commercial teams, the role would involve structuring, drafting, negotiating, and executing complex business transactions with strategic partners, performing legal due diligence, coordinating transactional regulatory filings (including antitrust), as well as assisting in corporate governance and securities filings in the United States. Second, the individual will provide advice and counsel on the legal risks and requirements associated with branded prescription pharmaceutical products including the Anti-Kickback Statute, the False Claims Act, the Food, Drug and Cosmetic Act, FDA advertising & promotional regulations, OIG Guidance, the PhRMA Code and the Sunshine Act.

ESSENTIAL FUNCTIONS:

The responsibilities of this job include, but are not limited to, the following:

  • Drafting complex transaction documents, including but not limited to, purchase agreements, licensing agreements, merger agreements and manufacturing agreements.

  • Collaborating with business development, strategic transaction, finance, tax, corporate governance and legal colleagues to structure transactions, coordinate merger analysis, review regulatory and securities filings, and implement legal entity management and corporate governance.

  • Analyzing relevant regulations and advising the business on the legal and regulatory aspects of corporate transactions and corporate governance.

  • Performing corporate and intellectual property due diligence.

  • Provide advice and counsel to clients on a broad array of issues relating to the legal risks and requirements associated with branded prospection pharmaceutical products (including the Anti-Kickback Statute, the False Claims Act, the Food, Drug and Cosmetic Act, FDA advertising & promotional regulations, OIG Guidance, the PhRMA Code and the Sunshine Act).

  • Working closely with corporate functions and actively assisting the company in achieving business objectives while maintaining legal and regulatory compliance with laws and regulations, company policies, contracts, and other legal requirements.

  • Collaborating with business functions and legal team members to create, streamline and improve internal processes and best practices to support business needs, and generate efficiencies.

  • Demonstrating strategic value and competence in applying legal skills to daily in-house corporate, business, and other matters.

  • Identifying areas of company risk, developing proposals to mitigate risks, and leading implementation of mitigation strategies.

  • Supervising outside counsel, other vendors and related budgets.

  • Maintaining and updating Company-approved contract templates.

  • Performing special assignments and projects as needed.

MINIMUM QUALIFICATIONS:

Qualified candidates will have at a minimum:

  • A J.D. from an accredited law school.

  • Admission and membership in good standing to the bar of at least one State.

  • At least [5] years of relevant legal experience.

  • Experience drafting and negotiating complex agreements and providing advice on corporate transactions.

PREFERRED QUALIFICATIONS:

Candidates with the following additional experience/qualifications are highly desired:

  • Experience providing advice and support in the pharmaceutical, biotech, or other highly regulated industry.

  • Experience advising on intellectual property provisions and licensing transactions.

  • Experience providing legal support and advice to exchange-listed corporate organizations regarding public securities matters.

  • Experience providing advice on areas of antitrust law.
