As a Corporate Counsel, you will be expected to provide professional legal services in a local environment, in order to enable the business unit to achieve the defined business objectives in accordance with standards and goals set by Legal.
Day to Day: This particular Corporate Counsel role will be heavily involved with third party supplier agreements, including Software License Agreements and Privacy and Data Security Agreements with Information Technology suppliers. In addition, Corporate Counsel will be generally expected to perform the following functions:
Analyze business strategy and department strategies and screen for legal opportunities or risks.
Deliver input and advice for improvement from a legal point of view.
Contribute to the development and implementation of policies and procedures in the local context.
Develop, implement, and maintain high quality contract templates and standards for use.
Implement and employ internal controls to monitor and assess legal risk.
Negotiate, draft, and create documentation and advise the business on vendor, dealer, end user, third party supplier, privacy and related party agreements.
Work with outside legal expertise and liaise with in-house business and legal experts under the direction of a Senior Corporate Counsel and the Chief Legal Officer.
Research legal issues related to federal and state technology, privacy, human resources, and lending laws, licensing, secured transactions, leasing, and collection practices.
Undergraduate degree, preferably in business or a related field of study.
Juris doctorate (J.D.) from an accredited law school. An emphasis on transactional law / secured transactions is preferred.
2-3 years' experience in a legal environment as a corporate, financial services, or transactional lawyer.
Experience in reviewing and negotiating procurement contracts is essential.
Experience reviewing and negotiating agreements for products and services with Information Technology suppliers is preferred. Must be able to identify legal, data privacy, risk, and cybersecurity issues within contracts, in addition to general contractual issues.
Experience with negotiations, drafting of documentation/agreements, and transaction processes.
Excellent English speaking and writing skills.
Willingness for occasional domestic and international travel.
