Your Function:

As a Corporate Counsel, you will be expected to provide professional legal services in a local environment, in order to enable the business unit to achieve the defined business objectives in accordance with standards and goals set by Legal.

Day to Day: This particular Corporate Counsel role will be heavily involved with third party supplier agreements, including Software License Agreements and Privacy and Data Security Agreements with Information Technology suppliers. In addition, Corporate Counsel will be generally expected to perform the following functions:

  • Analyze business strategy and department strategies and screen for legal opportunities or risks.

  • Deliver input and advice for improvement from a legal point of view.

  • Contribute to the development and implementation of policies and procedures in the local context.

  • Develop, implement, and maintain high quality contract templates and standards for use.

  • Implement and employ internal controls to monitor and assess legal risk.

  • Negotiate, draft, and create documentation and advise the business on vendor, dealer, end user, third party supplier, privacy and related party agreements.

  • Work with outside legal expertise and liaise with in-house business and legal experts under the direction of a Senior Corporate Counsel and the Chief Legal Officer.

  • Research legal issues related to federal and state technology, privacy, human resources, and lending laws, licensing, secured transactions, leasing, and collection practices.

Your Profile:

  • Undergraduate degree, preferably in business or a related field of study.

  • Juris doctorate (J.D.) from an accredited law school. An emphasis on transactional law / secured transactions is preferred.

  • 2-3 years' experience in a legal environment as a corporate, financial services, or transactional lawyer.

  • Experience in reviewing and negotiating procurement contracts is essential.

  • Experience reviewing and negotiating agreements for products and services with Information Technology suppliers is preferred. Must be able to identify legal, data privacy, risk, and cybersecurity issues within contracts, in addition to general contractual issues.

  • Experience with negotiations, drafting of documentation/agreements, and transaction processes.

  • Excellent English speaking and writing skills.

  • Willingness for occasional domestic and international travel.

VIEW JOBS 8/5/2020 12:00:00 AM 2020-11-03T00:00 Job Summary Under the supervision of the Treasury Director the Corporate Treasury Manager has responsibility for global cash management, global credit card, global foreign exchange management, cash forecasting and working capital management. MAJOR JOB DUTIES AND RESPONSIBILITIES (List in order of importance) As a key leader in the global Treasury organization, the position will be responsible for independently managing the following: * Understand, manage, and supervise all aspects of cash flow. * Forecast daily cash requirements and execute daily financing decisions. * Financing regional legal entities in a tax efficient manner * Regional Foreign Exchange management * Working Capital Governance * Prepare or monitor company's various cash flow forecasts and perform financial modeling. * Evaluate, develop and implement cash management systems to optimize efficiencies. * Understand and manage appropriate accounting procedures and processes. * Manage relationships with financial service providers. * Monitor bank service fees and address quality issues. * Independently maintain and expand the use of the Treasury workstation * Under the direction of the Assistant Treasurer manage the daily cash balances including daily balance reporting * Manage the treasury closing process including all reporting requirements * Oversee the administration of the Corporate Card program * Prepare or monitor company's various cash flow forecasts and perform financial modeling. * Evaluate, develop and implement cash management systems to optimize efficiencies. * Understand and manage appropriate accounting procedures and processes. * Manage relationships with financial service providers. * Monitor bank service fees and address quality issues. * Administer electronic banking systems * Administer global netting system * Issue letters of credit to support business needs * Performs other duties as assigned. QUALIFICATIONS (Education/Training, Experience and Certifications) * At least 7+ years finance experience with at least 3 years in Treasury or Treasury related role * Undergraduate education in highly analytical degree program * Experience in some of the treasury activities described above * Planning and analysis experience KNOWLEDGE SKILLS AND ABILITIES (Those necessary to perform the job competently) * Strong communication and negotiation skills * Strong working knowledge of MS Excel (PowerPoint a plus) * Self-motivated and organizationally-effective individual * Full understanding of global capital markets * Ability to work in a multi-cultural environment * Ability to travel internationally ENVIRONMENTAL WORKING CONDITIONS & PHYSICAL EFFORT (Under Typical Positions) Typically works in an office environment with adequate lighting and ventilation and a normal range of temperature and noise level. Work assignments are diversified. Examples of past precedent are used to resolve work problems. New alternatives may be developed to resolve problems. A frequent volume of work and deadlines impose strain on routine basis. Minimal physical effort is required. Work is mostly sedentary but does require walking, standing, bending, reaching, lifting or carrying objects that typically weigh less than 10 lbs.
