Position Overview:

FOX Factory, Inc., a fast-growing and dynamic company in Braselton, GA (30517) has an exciting opportunity for a Corporate Counsel level Contracts Attorney.

As a key member of the FOX legal team, the attorney will ensure that FOX negotiates and executes favorable agreements that are legally compliant in all respects both domestically and internationally. The attorney will draft and manage contracts, lead contract negotiation efforts and provide transactional legal counsel company wide.

This position will report into the Vice President, General Counsel and act as individual contributor to the Legal Department.

Responsibilities include but are not limited to:

  • Provides legal support for our team on a broad range of commercial agreements in support of purchasing, sales, confidentiality, construction, real estate, and other transactions;

  • Independently drafts, reviews, negotiates, and revises standard and non-standard corporate and commercial agreements, including, but not limited to, customer agreements, supplier agreements, real estate leases, construction agreements, software licenses, purchase agreements, sales agreements, insurance contacts, consulting agreements, sponsorship agreements, non-disclosure agreements, Master Service Agreements, terms and conditions, etc.

  • Ensures that contracts are in compliance with legal, regulatory and Company policies.

  • Conducts legal, regulatory, and business-related research and reviews various agreements and documents.

  • Acts as an escalation point for FOX team members who have contract questions or issues.

  • Participates in special projects where the experience, ability or expertise of the attorney merits involvement.

  • Performs other duties as assigned by the General Counsel or Assistant General Counsel in support of the Legal Department.

  • Exercises good judgment in making legal and business decisions while providing contract interpretations and guidance to internal business teams to ensure compliance with Company requirements.

  • Ensures timely review of contract modifications and communication of changes and notices to the business team.

  • Works closely with cross-functional teams (Sales, HR, Marketing, Finance, and Operations) in order to resolve legal and business challenges.

  • Tracks deadlines and deliverables and communicates on an ongoing basis with internal business teams about contractual issues.

  • Develops and updates standard contract templates and forms to improve efficiency of the contract process.

  • Assists with streamlining and automating the contract process.

  • Ensures that all required approvals are obtained and documented prior to submittal of contracts for execution.

  • Organizes and maintains all agreements within Legal-approved protocols, electronic contract management system, and paper filing system (as applicable) to ensure accurate records.

  • Creates and maintains a list of all pending and completed agreements for purposes of managing workflow, tracking agreements, and providing metrics.

  • Ensures the Legal Department receives copies of all fully executed contracts and files within the appropriate storage locations.

  • Keeps informed on relevant laws and regulations that affect the Company and its agreements.

Requirements/ Qualifications:

  • Bachelor's degree from an accredited college or university in business administration, accounting, information systems, cybersecurity or related field required.

  • JD from an accredited school; admitted to practice law in the state of Georgia.

  • 5+ years of relevant experience.

  • Experience with commercial transaction contracting, including customer agreements, supplier agreements, real estate leases, construction agreements, Master Service Agreements and terms and conditions; In-house experience preferred.

  • Understanding of contract and negotiation principles in the business and legal context.

  • Strong communication and project management skills with the ability to prioritize and communicate priorities required.

  • Strong work ethic and ability to juggle numerous matters at once and produce high quality work under tight deadlines. Act independently to determine the best method and procedure, and consistently look for ways to improve processes and find efficiencies in support of the Legal Department.

  • Willingness to take on additional tasks and projects outside of core areas of expertise.

  • Organized and methodical approach to agreements and projects.

  • Ability to work effectively and efficiently with others and coordinate a variety of internal and external activities having legal significance to the Company.

  • Must thrive in a fast-paced environment with the ability to manage numerous projects simultaneously, under deadline pressure and with limited supervision.

  • Meticulous attention to detail is crucial.

  • Strong organizational and project management skills.

  • Exercise good judgement in working independently and taking initiative.

Preferred Qualifications:

  • Experience with internal controls, risk assessments, business process, project management, and ERP packages are preferred; Oracle experience ideal

ESSENTIAL DUTIES AND RESPONSIBILITIES: * Develops and administers various human resources plans and procedures for all company personnel. * Plans, organizes and controls all activities of the department. Participates in developing department goals, objectives and systems. * Conducts recruitment efforts for all exempt, nonexempt, hourly and temporary employees. Conducts employee relations counseling, outplacement counseling; writes and places job advertisements. * Coordinates companys general training needs. * Coordinates safety and health requirements and compliance, including safety training. * Attracts, screens, and recommends qualified candidates for available positions. Ensures all hiring is done according to company policies and in conformance with government regulations. * Administers and interprets labor agreements for bargaining unit employees. * Remains current on safety, workers compensation, EEO/AAP, and employment legislation to ensure the companys adherence to these regulations. * Investigates sexual harassment allegations, EEO complaints, disputes and other in house sensitive issues, discrimination charges and recommends remedial action. May refer issues to National Human Resources Manager for further clarification. * Working with the company law firm to prepare company cases for litigation, including EEO and discrimination charges. * Plans and coordinates all employee relations company-sponsored events to include summer cookout and holiday dinner. * Maybe responsible for the development and communication of the company Workers Compensation Policies.
